Designation during the Year. Subject to the conditions set forth in this Article 2, if a natural Person recommended as an Investor Nominee ceases to be a director of the Corporation or if there is otherwise a vacancy in respect of an Investor Nominee, the Investor may notify the Corporation of its designated Investor Nominee, and the Corporation shall appoint such Investor Nominee to the Board as soon as possible acting reasonably and to the extent that the BCA and its articles of incorporation allow for a term ending at the close of the next following annual meeting of Shareholders.

Designation during the Year. Subject to the conditions set forth in this Article 2, if one of the individuals designated as Nominees ceases to be a director of the Corporation, the relevant Principal Shareholder may notify the Corporation of the designation of its Nominee, and the Corporation shall promptly appoint such Nominee to the Board, to the extent permitted under the CBCA and its articles of incorporation, for a term expiring at the close of the next annual meeting of Shareholders. In the event that Fxxxx Holdco wishes to designate a new Fxxxx Nominee before the first annual meeting of Shareholders following the date of this Agreement, the Corporation shall promptly appoint the new Fxxxx Nominee to the Board for a term expiring at the close of such first annual meeting of Shareholders in accordance with section 106(8) of the CBCA, and Mx. Xxxxxxx Xxxxxx shall remain on the Board for the remainder of her term despite no longer being a Nominee.

Designation during the Year. Subject to the conditions set forth in this Part 2, prior to the first annual meeting of Shareholders following the date of this Agreement, or if a physical Person recommended as the Investor Nominee ceases to be a director of the Corporation or if the office of the Investor Nominee otherwise becomes vacant, the Investor may notify the Corporation of its designation of the Investor Nominee or the replacement thereof, as the case may be, the Corporation shall appoint such Investor Nominee to the Board as soon as practicable, acting reasonably and to the extent permitted by the QBCA and its articles of incorporation for a term expiring at the close of the next annual meeting of Shareholders. Notwithstanding the foregoing, in the event that, as a result of the restrictions set forth in the articles of incorporation of the Corporation, the Investor Nominee cannot be appointed to the Board on the Closing Date, the Investor Nominee will be entitled, until the first annual meeting of Shareholders following the date of this Agreement, to attend all meetings of the Board, to receive copies of all documents distributed to the Board and to participate in discussions at Board and committee meetings as an observer, but will have no voting rights at such Board meetings and will not be entitled to any remuneration from the Corporation, provided, however, that all reasonable and documented disbursements incurred by such Investor Nominee will be reimbursed by the Corporation. The Investor Nominee undertakes to sign a confidentiality agreement providing for confidentiality obligations similar to those imposed on directors of the Board.

  • Allocations During the Revolving Period During the Revolving Period, the Servicer shall, prior to the close of business on the day any Collections are deposited in the Collection Account, allocate to the Investor Certificateholders or the Holder of the Seller Interest and pay or deposit from the Collection Account the following amounts as set forth below:

  • Allocations During the Controlled Accumulation Period During the Controlled Accumulation Period (A) an amount equal to the product of (I) the sum of the Class B Principal Percentage and the Collateral Principal Percentage and (II) the Principal Allocation Percentage and (III) the Series 2022-4 Allocation Percentage and (IV) the aggregate amount of Collections of Principal Receivables deposited in the Collection Account on such Deposit Date, shall be allocated to the Series 2022-4 Certificateholders and retained in the Collection Account until applied as provided herein and (B) an amount equal to the product of (I) the Class A Principal Percentage and (II) the Principal Allocation Percentage and (III) the Series 2022-4 Allocation Percentage and (IV) the aggregate amount of Collections of Principal Receivables deposited in the Collection Account on such Deposit Date (the product specified in this clause (B) for any such date is hereinafter referred to as a “Percentage Allocation”) shall be allocated to the Series 2022-4 Certificateholders and retained in the Collection Account until applied as provided herein; provided, however, that if the sum of such Percentage Allocation and all preceding Percentage Allocations with respect to the same Monthly Period exceeds the Controlled Deposit Amount during the Controlled Accumulation Period for the related Distribution Date, then such excess shall not be treated as a Percentage Allocation and shall be first, if any other Principal Sharing Series is outstanding and in its amortization period or accumulation period, retained in the Collection Account for application, to the extent necessary, as Shared Principal Collections on the related Distribution Date, and second paid to the Holders of the Transferor Certificates only if the Transferor Amount on such Deposit Date is greater than the Required Transferor Amount (after giving effect to all Principal Receivables transferred to the Trust on such day) and otherwise shall be deposited in the Special Funding Account.

  • Allocations During the Early Amortization Period During the Early Amortization Period, an amount equal to the product of (A) the Principal Allocation Percentage and (B) the Series 1997-1 Allocation Percentage and (C) the aggregate amount of Collections of Principal Receivables deposited in the Collection Account on such Deposit Date, shall be allocated to the Series 1997-1 Certificateholders and retained in the Collection Account until applied as provided herein; provided, however, that after the date on which an amount of such Collections equal to the Adjusted Invested Amount has been deposited into the Collection Account and allocated to the Series 1997-1 Certificateholders, such amount shall be first, if any other Principal Sharing Series is outstanding and in its amortization period or accumulation period, retained in the Collection Account for application, to the extent necessary, as Shared Principal Collections on the related Distribution Date, and second paid to the Holders of the Transferor Certificates only if the Transferor Amount on such date is greater than the Required Transferor Amount (after giving effect to all Principal Receivables transferred to the Trust on such day) and otherwise shall be deposited in the Special Funding Account.

  • Allocations During the Rapid Amortization Period During the Rapid Amortization Period, the Servicer shall, prior to the close of business on the day any Collections are deposited in the Collection Account, allocate to the Investor Certificateholders and pay or deposit from the Collection Account the following amounts as set forth below:

  • Covered Termination During a Change in Control Period If Executive experiences a Covered Termination during a Change in Control Period, and if Executive delivers to the Company a Release of Claims that becomes effective and irrevocable within sixty (60) days, or such shorter period of time specified by the Company, following such Covered Termination, then in addition to any accrued but unpaid salary, bonus, vacation and expense reimbursement payable in accordance with applicable law, the Company shall provide Executive with the following:

  • Allocations During Period of Liquidation During the period commencing on the first day of the Fiscal Year during which a Dissolution Event occurs and ending on the date on which all of the assets of the Company have been distributed to the Unit Holders pursuant to Section 10.2 of this Agreement (the “Liquidation Period”), the Unit Holders shall continue to share Profits, Losses, gain, loss and other items of Company income, gain, loss or deduction in the manner provided in Article III of this Agreement.

  • During the Term (a) As compensation for services hereunder rendered during the Term hereof, Executive shall receive a base salary (“Base Salary”) of Five Hundred Thousand Dollars ($500,000) per year payable in equal installments in accordance with the Company’s payroll procedure for its salaried executives. Salary payments and other payments under this Agreement shall be subject to withholding of taxes and other appropriate and customary amounts. Executive may receive increases in his Base Salary from time to time, based upon his performance, subject to approval of the Company.

  • Death During Benefit Period If the Executive dies after the benefit payments have commenced under this Agreement but before receiving all such payments, the Company shall pay the remaining benefits to the Executive's beneficiary at the same time and in the same amounts they would have been paid to the Executive had the Executive survived.
