Designation of Head of Quality Assurance. The Board shall, as soon as possible after the Execution Date, appoint a Head of Quality Assurance of the Company, as determined by a Vote of the Board. The Head of Quality Assurance shall possess and exercise such authority and powers and perform such duties as may be determined by the Board. The Head of Quality Assurance shall: (i) be subject to oversight and direction by the President; (ii) carry out his/her responsibilities designated by the President; and (iii) be compensated by the Company in accordance with the Approved Operating Plan.
