Determination of record dates. Notwithstanding any other provision of these Bye-laws, the Board may fix any date as the record date for:- (a) determining the Members entitled to receive any dividend; (b) determining the Members entitled to receive notice of and to vote at any general meeting of the Company (and the Board may determine a different record date for any adjournment or postponement thereof); (c) determining the Members entitled to execute a resolution in writing; and (d) determining the number of issued and outstanding shares for or in connection with any purpose.
