Determination to Proceed With Settlement. Xxxxxxx will determine on or before the Reference Date whether there has been a sufficient resolution of the Claims of the Litigating Subdivisions in the Settling States (through participation under Section VII, Case-Specific Resolution(s), and Bar(s)) to proceed with this Agreement. The determination shall be in the sole discretion of Xxxxxxx and may be based on any criteria or factors deemed relevant by Xxxxxxx.
