Determinations of Calculation Agent Binding Clause Samples
Determinations of Calculation Agent Binding. All notifications, opinions, determinations, certificates, calculations, quotations and decisions given, expressed, made or obtained for the purposes of Condition 5 (Interest Payments) by the Calculation Agent, shall (in the absence of manifest error) be binding on the Issuer, the Trustee and the Agents and all Holders and (in the absence of aforesaid) no liability to the Holders, the Issuer or any other person shall attach to the Calculation Agent in connection with the exercise or non-exercise by it of any of its powers, duties and discretions.
Determinations of Calculation Agent Binding. All notifications, opinions, determinations, certificates, calculations, quotations and decisions given, expressed, made or obtained for the purposes of this Condition 3 (Interest Payments) by the Calculation Agent shall (in the absence of wilful default, bad faith or manifest error) be binding on the Issuer, the Calculation Agent, the Paying Agents and all Noteholders and (in the absence of wilful default, bad faith and manifest error) no liability to the Noteholders or the Issuer shall attach to the Calculation Agent in connection with the exercise or non-exercise by it of any of its powers, duties and discretions.
