DIGITAL TELEVISION. The Station has been assigned a channel (Channel 21) by the FCC for the provision of digital television service (“DTV”). The Station has constructed and is operating a DTV facility on its assigned Channel 21 pursuant to, and in accordance with, a DTV license issued by the FCC. WDWB Licensee has filed a letter with the FCC electing to use Channel 21 for its permanent DTV operations upon completion of the DTV transition.

DIGITAL TELEVISION. Each of the Stations have been assigned a channel by the FCC for the provision of digital television ("DTV") service. The FCC Licenses listed in Schedule 2. 1.1 include all other authorizations necessary to permit the construction of a DTV station on each channel (a "DTV FACILITY").
DIGITAL TELEVISION. On September 5, 2001, the FCC released an order changing the Station's digital television ("DTV") channel from Channel 23 to Channel 9. The FCC Licenses listed in Schedule 2.1.1 include the Station's DTV construction permit and a pending modification application.
DIGITAL TELEVISION. The Station has been assigned the channels listed on Schedule 4.20 (the “Digital Channels”) by the FCC for the provision of digital television (“DTV”) service and has elected the channels listed on Schedule 4.20 as their post-digital transition channels. The Station Licenses listed in Schedule 4.13(a) include construction permits and modifications thereto and license to cover applications (the “DTV CPs”) and all other authorizations necessary to operate the DTV facilities listed therein (the “DTV Facilities”). Except as expressly set for in this Section 4.20 and Schedule 4.13(a), the DTV CPs are in full force and effect and the FCC has not taken any adverse action with respect thereto. Sellers have a pending request with the FCC for waiver of the July 1, 2006 “use it or lose it” interference protection deadline for DTV buildout for the Station. At Closing, no further technical action or modification will be required for the buildout of the DTV Facilities at the full parameters authorized by the DTV CPs.
DIGITAL TELEVISION. The Station has been assigned a channel (Channel 19) by the FCC for the provision of digital television ("DTV") service. The FCC Authorizations listed in Schedule 2.7 include a construction permit and all other authorizations necessary to permit the construction of a DTV station on such channel (the "DTV Facility"). Construction of the DTV Facility will be completed, and operation of the DTV Facility commenced, on or before May 1, 1999, the deadline set forth in 47 C.F.R. ss.73.624(d). To the best of Gaylord's knowledge, there is no fact or circumstance that will delay the conversion of the Station to DTV operation in accordance with the May 1, 1999 deadline and the FCC's overall prescribed timetable for such conversion, or that may cause the conversion of the Station to DTV operation to have a Xxxxxxx Material Adverse Effect.
DIGITAL TELEVISION. Each full-power Company Station (other than radio stations) (i) has tentatively been assigned a channel by the FCC for the provision of digital television service (“DTV”) and (ii) has constructed and is operating a DTV facility on its assigned digital channel pursuant to, and in accordance with, a DTV authorization issued by the FCC and the Communications Act, except as would not have, individually or in the aggregate, a Company Material Adverse Effect.
DIGITAL TELEVISION. The Station has been assigned a channel (Channel 24) by the FCC for the provision of digital television ("DTV") service. The channel assignment has not been vacated, reversed, stayed, set aside, annulled or suspended, nor is it the subject of any pending appeal, request for stay, or petition for rehearing, reconsideration or review by any Person or by the FCC on its own motion, and the time for filing any appeal, request, petition, or similar document for the reconsideration or review by the FCC on its own motion has expired. To the Sellers' Knowledge, there are no pending petitions for rulemaking or notices of proposed rulemaking to reallocate the digital television allotment of the Station or, to Sellers' Knowledge, to reallocate the digital or analog television allotment of any other station in a manner that could have a Material Adverse Effect. The Licenses listed in SCHEDULE 1.7 include a construction -27- permit (the "DTV CP") and all other authorizations necessary to operate a DTV facility on such channel (the "DTV FACILITY").

DIGITAL TELEVISION. KEYE has been assigned a channel (Channel 43) by the FCC for the provision of digital television ("DTV") service.
DIGITAL TELEVISION. TV has been assigned a channel (Channel 12) by the FCC for the provision of digital television ("DTV") service and TV is in compliance in all material respects with the DTV buildout and operational requirements as set forth in Section 73.624 of the FCC Rules (47 C.F.R. 73.624).
DIGITAL TELEVISION. The Station has elected channel 7 as its tentative channel designation for the provision of digital television service (“DTV”). On June 23, 2005, the FCC tentatively designated the election of channel 7 for the Station’s permanent DTV operations (“Channel Designation”). The Channel Designation has not been vacated, reversed, stayed, set aside, annulled or suspended, nor is it the subject of any pending appeal, request for stay, petition for rehearing, reconsideration or review by any Person or by the FCC on its own motion. The FCC Licenses listed in Schedule 4.16 include a construction permit (the “DTV CP”) to operate the Station with “maximization” facilities (the “DTV Facility”) and special temporary authority (the “DTV STA”) to commence operation of the DTV Facility at reduced power. The DTV Facility commenced operation on October 31, 2002 and is operating pursuant to the DTV STA initially granted March 6, 2003, the current term of which has been extended through June 1, 2006. The DTV CP and the DTV STA are in full force and effect, the FCC has not taken any adverse action with respect thereto, and all necessary requests to extend the DTV CP and DTV STA have been timely filed.
