Common use of Diligence Clause in Contracts

Diligence. Licensee shall use commercially reasonable efforts and shall cause its Sublicensees to use commercially reasonable efforts: (a) to develop Licensed Products in accordance with the Development and Commercialization Plan, which may be amended from time to time by mutual agreement of the Parties; (b) to introduce Licensed Products into the commercial market; and (c) to market Licensed Products following such introduction into the market. In addition, Licensee, by itself or through its Affiliates or Sublicensees, shall use commercially reasonable efforts to achieve the Development and Commercialization Milestones.

Diligence. Licensee Licensee, alone and/or through its Affiliates and/or Sublicensees, shall use commercially reasonable efforts and shall cause its Sublicensees to use commercially reasonable efforts, including funding consistent therewith: (a) to develop Licensed Products in accordance with the Development and Commercialization Plan, which may be amended from time to time by mutual agreement of the Parties; (b) to introduce Licensed Products into the commercial market; and (c) to market Licensed Products following such introduction into the market. In additionaddition and without limiting the foregoing, Licensee, by itself or and/or through its Affiliates or and/or Sublicensees, shall use commercially reasonable efforts to achieve each of the Development and Commercialization Milestones.Milestones within the time periods specified in Exhibit A.

Diligence. Licensee shall use commercially reasonable efforts and shall cause its Sublicensees to use commercially reasonable efforts: (a) to develop Licensed Products in accordance with the Development and Commercialization Plan, which may be amended from time to time by mutual agreement of the Parties; (b) to introduce Licensed Products into the commercial market; and (c) to market Licensed Products following such introduction into the market. In addition, Licensee, by itself or through its Affiliates or Sublicensees, shall use commercially reasonable efforts to achieve each of the Development and Commercialization MilestonesMilestones by the deadlines specified in Exhibit 1.11.

Licensee shall use commercially reasonable efforts and shall cause its Affiliates and Sublicensees to use commercially reasonable efforts: (a) to develop or have developed Licensed Products and Licensed Services in accordance with the Development and Commercialization Plan, which may be amended from time to time by mutual agreement of the Parties; (b) to introduce or have introduced Licensed Products and Licensed Services into the commercial market; and (c) to market or have marketed Licensed Products and Licensed Services following such introduction into the market. In addition, Licensee, by itself or through its Affiliates or Sublicensees, shall use commercially reasonable efforts to achieve each of the Development and Commercialization MilestonesMilestones within the time periods specified in Exhibit 1.6.

Licensee shall use commercially reasonable efforts efforts, and shall cause its Sublicensees to use commercially reasonable efforts: (a) to develop Licensed Products in accordance with the Development and Commercialization Plan, which may be amended from time to time by mutual agreement of the Parties; (b) to introduce Licensed Products into the commercial market; and (c) to market Licensed Products following such introduction into the market. In addition, Licensee, by itself or through its Affiliates or Sublicensees, also shall use commercially reasonable efforts to achieve each of the Development and Commercialization MilestonesMilestones within the time periods specified in Exhibit 1.3.
