Common use of Direct License Clause in Contracts

Direct License. Irrespective of anything to the contrary in this Agreement, any existing, permitted sublicense granted by Roche under Section 2.3 of this Agreement (and any further sublicenses thereunder) shall, upon the written request of Roche, remain in full force and effect, provided that (i) such Sublicensee is not then in breach of its sublicense agreement (and, in the case of termination by Pieris for breach by Roche, that such Sublicensee and any further sublicensees did not cause the breach that gave rise to the termination by Pieris); and (ii) and such Sublicensee agrees to be bound to Pieris under the terms and conditions of such sublicense agreement, provided that the payments due to Pieris by such Sublicensee under such sublicense agreement are no less than the payments that would have been due to Pieris by Roche under this Agreement.

Irrespective of anything to the contrary in this Agreement, any existing, permitted sublicense granted by Roche Genentech under Section 2.3 of this Agreement (and any further sublicenses thereunder) shall, upon the written request of RocheGenentech, remain in full force and effect, provided that (i) such Sublicensee is not then in breach of its sublicense agreement (and, in the case of termination by Pieris for breach by RocheGenentech, that such Sublicensee and any further sublicensees did not cause the breach that gave rise to the termination by Pieris); and (ii) and such Sublicensee agrees to be bound to Pieris under the terms and conditions of such sublicense agreement, provided that the payments due to Pieris by such Sublicensee under such sublicense agreement are no less than the payments that would have been due to Pieris by Roche Genentech under this Agreement.. 19.3.7

Direct License. Irrespective of anything to the contrary in this Agreement, any existing, permitted sublicense granted by Roche under Section 2.3 3.5 of this Agreement (and any further sublicenses thereunder) shall, upon the written request of Roche, remain in full force and effect, provided that (i) such Sublicensee is not then in breach of its sublicense agreement (and, in the case of termination by Pieris SQZ for breach by Roche, that such Sublicensee and any further sublicensees Sublicensees did not cause the breach that gave rise to the termination by PierisSQZ); and (ii) and such Sublicensee agrees to be bound to Pieris SQZ under the terms and conditions of such sublicense agreement, provided that the payments due to Pieris by and (iii) SQZ’s obligations under any such Sublicensee under such sublicense agreement are no less direct license shall not be greater than the payments that would have been due to Pieris by Roche its obligations under this Agreement.
