Common use of Direct Payment by Landlord Clause in Contracts

Direct Payment by Landlord. If any Imposition or other item of Rent is required to be paid directly by Landlord, then: (a) Landlord appoints Tenant as Landlord's attorney in fact for the purpose of making such payment; and (b) if the person entitled to receive such payment refuses to accept it from Tenant, then Tenant shall give Landlord Notice of such fact and shall remit payment of such Imposition to Landlord in a timely manner accompanied by reasonable instructions as to the further remittance of such payment. Landlord shall with reasonable promptness comply with Tenant's reasonable instructions and shall Indemnify Tenant against Landlord's failure to do so.

If any Imposition or other item of Additional Rent is required to must be paid directly by Landlord, then: (a) Landlord appoints Tenant as Landlord's attorney in attorney-in-fact for the purpose of making such payment; and (b) if the person entitled to receive such payment payee nevertheless refuses to accept it payment from Tenant, then Tenant shall give Notify Landlord Notice of such fact and shall remit payment of pay such Imposition amount to Landlord in a timely manner accompanied by reasonable instructions as to on the further remittance of such payment. Landlord shall with reasonable promptness comply with Tenant's reasonable instructions and instructions. Landlord shall Indemnify Tenant against Landlord's failure to do so.
