Common use of Directed Share Program Clause in Contracts

Directed Share Program. The Company (i) will indemnify Xxxxxxxxx Xxxxxxxx for any losses incurred in connection with the Directed Share Program, (ii) will comply with all applicable securities and other applicable laws, rules and regulations in each jurisdiction in which the Directed Shares are offered in connection with the Directed Share Program and (iii) will pay all reasonable fees and disbursements of counsel incurred by the Underwriters in connection with the Directed Share Program and any stamp duties, similar taxes or duties or other taxes, if any, incurred by the underwriters in connection with the Directed Share Program.

Directed Share Program. The Company (i) will indemnify FleetBoston Xxxxxxxxx Xxxxxxxx Inc. for any losses incurred in connection with the Directed Share Program, (ii) will comply with all applicable securities and other applicable laws, rules and regulations in each jurisdiction in which the Directed Shares are offered in connection with the Directed Share Program and (iii) will pay all reasonable fees and disbursements of counsel incurred by the Underwriters in connection with the Directed Share Program and any stamp duties, similar taxes or duties or other taxes, if any, incurred by the underwriters in connection with the Directed Share Program.

Directed Share Program. The Company (i) will indemnify Xxxxxxxxx Xxxxxxxx indeminify XX Xxxxxx for any losses incurred in connection with the Directed Share Program, (ii) will comply with all applicable securities and other applicable laws, rules and regulations in each jurisdiction in which the Directed Shares are offered in connection with administering the Directed Share Program and (iii) will pay all reasonable fees and disbursements of counsel incurred by the Underwriters in connection with administering the Directed Share Program and any stamp duties, similar taxes or duties or other taxes, if any, incurred by the underwriters in connection with the Directed Share Program.

Directed Share Program. The Company (i) will indemnify Xxxxxxxxx Xxxxxxxx Robexxxxx Xxxpxxxx xxx Wit Capital for any losses incurred in connection with the Directed Share Program, (ii) will comply with all applicable securities and other applicable laws, rules and regulations in each jurisdiction in which the Directed Shares are offered in connection with the Directed Share Program and (iii) will pay all reasonable fees and disbursements of counsel incurred by the Underwriters in connection with the Directed Share Program and any stamp duties, similar taxes or duties or other taxes, if any, incurred by the underwriters in connection with the Directed Share Program.
