Prior to the date of the mailing of the Proxy Statement, Parent shall nominate Xxxxx Xxxxxx to serve as a director of Parent in accordance with the policies for directors of Parent, and Parent shall take such action as is necessary to cause such person to become a director of Parent effective as of the Effective Time.
