Common use of DIRECTORS' RESOLUTIONS Clause in Contracts

DIRECTORS' RESOLUTIONS. Purchaser shall deliver to Seller copies of the resolutions of its Board of Directors authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Purchaser.

DIRECTORS' RESOLUTIONS. Purchaser shall deliver to Seller the Company and the Sellers copies of the resolutions of its Board of Directors authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Purchaser.

DIRECTORS' RESOLUTIONS. Guarantor and Purchaser shall deliver to Seller Sellers' Representative copies of the resolutions of its Board of Directors authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Guarantor and Purchaser.

Purchaser Buyer shall deliver have delivered to Seller Sellers copies of the resolutions of its Board board of Directors directors authorizing the execution, delivery and performance execution of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of PurchaserBuyer.

Purchaser Seller shall deliver to Seller Purchaser copies of the resolutions of its Board the board of Directors directors of Seller authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of PurchaserSeller.

Purchaser shall deliver to the Company and Seller copies of the resolutions of its Board of Directors authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Purchaser. In addition, if the transactions contemplated by this Agreement are the subject of any action by the Board of Directors of Parent, Purchaser also shall deliver a copy of such resolutions to the Company and Seller.

Purchaser Seller shall deliver to Seller Purchaser copies of the resolutions of its Board the board of Directors directors and stockholders of Seller authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of PurchaserSeller.

Purchaser shall deliver to Seller Selling Group copies of the resolutions of its Board of Directors authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Purchaser.

Xxxxxx and Purchaser shall deliver to Seller Sellers copies of the resolutions of its Board of Directors authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Xxxxxx and Purchaser.
