Disclosure and Absence of Undisclosed Liabilities. This Agreement and the Exhibits hereto disclose all facts material to the assets, business or operations of the Seller. No statement contained herein or in any certificate, schedule, list, exhibit or other instrument furnished to Purchaser pursuant to the provisions hereof contains or will contain any untrue statement of any material fact or omits or will omit to state a material fact necessary in order to make the statements contained herein or therein not misleading.
