Disclosure and No Untrue Statements. No representation or warranty made by the Borrower in the Loan Documents or which will be made by the Borrower from time to time pursuant to Officer=s Certificates (a) contains or will contain any material misrepresentation or material untrue statement of fact; or (b) omits or will omit to state any material fact necessary to make the statements therein not misleading, unless otherwise disclosed in writing to the Lender. There is no fact known to the Borrower or any of its executive financial officers which materially and adversely affects the business, assets, properties, or condition, financial or otherwise, of the Borrower.
