Common use of Disclosure and No Untrue Statements Clause in Contracts

Disclosure and No Untrue Statements. No representation or warranty made by any of the Borrowers in the Loan Documents or which will be made by the Borrowers from time to time in connection with the Loan Documents (a) contains or will contain any misrepresentation or untrue statement of fact; or (b) omits or will omit to state any material fact necessary to make the statements therein not misleading, unless otherwise disclosed in writing to the Agent. There is no fact known to any of the Borrowers or any of their respective executive financial officers which adversely affects, or which might in the future adversely affect, the business, assets, properties, or condition, financial or otherwise, of the Borrowers.
