Common use of Disclosure of Confidential Clause in Contracts

Disclosure of Confidential. Information shall not be precluded if such disclosure is pursuant to the requirement or request of a governmental agency or by operation of law. Provided, however, the Receiving Party shall promptly give a written notice to the Disclosing party so that the Disclosing Party may seek an appropriate protective order.

Disclosure of Confidential. Information shall not be precluded if such disclosure is in response to a valid order of a court or other governmental body or of any political subdivision thereof or is otherwise required to be disclosed by law. Notwithstanding the foregoing, in the event that a party is required to make a disclosure of the other party’s Confidential Information pursuant to the requirement or request of a governmental agency or by operation of law. Providedthis section 5.1.3, howeverit will, the Receiving Party shall promptly except where impractical, give a reasonable advance written notice to the Disclosing other party so that the Disclosing Party may seek an appropriate protective orderof such disclosure and use reasonable commercial efforts to secure confidential treatment of such information.
