Common use of Disclosure of Information; Confidentiality Clause in Contracts

Disclosure of Information; Confidentiality. The Agent and the Lenders shall hold all non-public information with respect to the Borrowers obtained pursuant to the Loan Documents in accordance with their customary procedures for handling confidential information; provided, that the Agent may disclose information relating to this Agreement to Gold Sheets and other similar bank trade publications, such information to consist of deal terms and other information customarily found in such publications and provided further, that the Agent and Lenders may disclose any such information to the extent such disclosure is required by law or requested by any regulatory authority. Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to Section 13.13, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers furnished to such Lender by or on behalf of the Borrower; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrowers or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers received from such Lender.

Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 13.1313.10, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers furnished to such Lender by or on behalf of the BorrowerBorrowers; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrowers or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers received from such Lender.

Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 13.1310.9, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers Borrower furnished to such Lender by or on behalf of the Borrower; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrowers Borrower or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers Borrower received from such Lender.

Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 13.1313.10, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers Borrower or any of its Subsidiaries or Affiliates furnished to such Lender by or on behalf of the BorrowerBorrower or any of its Subsidiaries or Affiliates; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree in writing with the Borrowers Borrower or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers Borrower and any of its Subsidiaries and Affiliates received from such Lender.

Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 13.1310.9, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers Borrower furnished to such Lender by or on behalf of the Borrower; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrowers Borrower or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers Borrower received from such Lender.

The Administrative Agent and the Lenders shall hold all non-public information with respect to the Borrowers Company obtained pursuant to the Loan Documents in accordance with their customary procedures for handling confidential information; provided, that the Administrative Agent may disclose disclose, after the Company has filed its next periodic report with the SEC following the Closing Date, information relating to this Agreement to Gold Sheets and other similar bank trade publications, such information to consist of deal terms and other information customarily found in such publications and provided further, that the Administrative Agent and Lenders may disclose any such information (i) to the extent such disclosure is required by law or requested by any regulatory authorityauthority and (ii) to such Lender’s Affiliates and independent auditors and other professional advisors. Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 13.1310.9, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers Company furnished to such Lender by or on behalf of the BorrowerCompany; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrowers Company or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers Company received from such Lender.

Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 13.1314.10, disclose to the assignee, participant, proposed assignee or proposed participant, any information relating to the Borrowers Borrower furnished to such Lender by or on behalf of the Borrower; provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrowers Borrower or such Lender to preserve the confidentiality of any confidential information relating to the Borrowers Borrower received from such Lender.
