Common use of Disclosure of Information; Confidentiality Clause in Contracts

Disclosure of Information; Confidentiality. The Administrative Agent and the Lenders shall hold all non-public information with respect to the Borrower obtained pursuant to the Loan Documents in accordance with their customary procedures for handling confidential information; provided that the Administrative Agent may disclose information relating to this Agreement to Gold Sheets and other similar bank trade publications, such information to consist of deal terms and other information customarily found in such publications. Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 12.10, disclose to the assignee, participant, proposed assignee or proposed participant any information relating to the Borrower furnished to such Lender by or on behalf of the Borrower; provided that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrower or such Lender to preserve the confidentiality of any confidential information relating to the Borrower received from such Lender.

The Administrative Agent and the Lenders shall hold use commercially reasonable procedures in holding confidential all non-public information with respect to the Borrower obtained pursuant to the Loan Documents and marked in accordance writing as such except that the Agent and the Lenders may share such non-public information with their customary procedures for handling confidential information; respective Affiliates provided that the Administrative Agent may disclose such Affiliates agree in writing to use commercially reasonable procedures to hold any such non-public information relating to this Agreement to Gold Sheets and other similar bank trade publications, such information to consist of deal terms and other information customarily found in such publicationsconfidential. Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 12.1013.9, disclose to the assignee, participant, proposed assignee or proposed participant participant, any information relating to the Borrower or any Material Subsidiary furnished to such Lender by or on behalf of the BorrowerBorrower or any Material Subsidiary; provided provided, that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrower or such Lender to preserve the confidentiality of any confidential information relating to the Borrower received from such LenderLender to the same extent required of the Lenders hereunder.

The Syndication Agent, ------------------------------------------ the Documentation Agent, the Administrative Agent and the Lenders shall hold all non-public information with respect to the Borrower Company obtained pursuant to the Loan Documents in accordance with their customary procedures for handling confidential information; provided that the Administrative Syndication Agent may disclose information relating to this Agreement to Gold Sheets and other similar bank ----------- trade publications, such information to consist of deal terms and other information customarily found in such publications. Any Lender may, in connection with any assignment, proposed assignment, participation or proposed participation pursuant to this Section 12.10, disclose to the assignee, participant, proposed assignee or proposed participant any information relating to the Borrower Company furnished to such Lender by or on behalf of the BorrowerCompany; provided that prior to any such disclosure, each such assignee, proposed assignee, participant or proposed participant shall agree with the Borrower Company or such Lender to preserve the confidentiality of any confidential information relating to the Borrower Company received from such Lender.
