To the Knowledge of the Seller, no provision of this Agreement contains or will contain at Closing any untrue statement of a material fact with respect to the Seller, the Business, the Stores or the Transferred Assets or omits or will omit at Closing to state a material fact with respect to the Seller, the Business, the Stores or the Transferred Assets necessary in order to make the statements herein or therein not misleading.
