Common use of Disclosure Restrictions Clause in Contracts

Disclosure Restrictions. The Receiving Party may disclose Confidential Information only to its employees, consultants and contractors when such disclosure is necessary for the Receiving Party to exercise its rights in compliance with, and only for purposes contemplated by, this Agreement, provided such employees, consultants and contractors are advised of the confidential nature thereof and bound by nondisclosure obligations and restrictions no less restrictive than those set forth in this Section 9 (Confidentiality).

Disclosure Restrictions. The (a) Receiving Party may disclose must not make any of Disclosing Party’s Confidential Information only available in any form, to its any Third Party, natural person or legal entity other than Receiving Party’s employees, consultants and contractors when Affiliates or agents with a need to know such disclosure is necessary for the Confidential Information. In this case, Receiving Party to exercise its rights shall ensure that all such Receiving Party’s employees, Affiliates or agents shall be bound by the confidentiality obligations offering no less than the same level of protection as stipulated in compliance with, and only for purposes contemplated by, this Agreement, provided such employees, consultants and contractors are advised of the confidential nature thereof and bound by nondisclosure obligations and restrictions no less restrictive than those set forth in this Section 9 (Confidentiality).
