Common use of Disclosures and Announcements Clause in Contracts

Disclosures and Announcements. Both the timing and the content of all disclosures to third parties and public announcements concerning the transactions provided for in this Agreement by either Company or Buyer shall be subject to the approval of the other in all essential respects; provided, however, that a party may proceed with any such disclosure notwithstanding the failure of the other party to give its approval thereto, if the party proposing to make such disclosure believes in good faith that it is required to make such disclosure pursuant to any laws or regulations applicable to it.
