Common use of Disclosures and Announcements Clause in Contracts

Disclosures and Announcements. Both the timing and the content of all disclosure to third parties and public announcements concerning the transactions provided for in this Agreement by either party shall be subject to the approval of the other in all essential respects, except that neither Party's approval shall be required as to any statements and other information which the other Party may be required to make pursuant to any rule or regulation of the Securities and Exchange Commission, the New York Stock Exchange, Inc. or the Nasdaq Stock Market, Inc., or otherwise required by law.
