Common use of Discrepancies and Omissions Clause in Contracts

Discrepancies and Omissions. 5.7.1. Supplier represents that wherever it becomes aware and/or should have become aware of any suspected or actual contradiction or discrepancies between the provisions of, or any omission in, any of the various documents forming this Agreement, it shall notify the ISR in writing, immediately and in any event within no more than five (5) days of becoming aware. 5.7.2. No inaccuracies, errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities in or between any of the provisions of this Agreement, or any information or instructions communicated or given by ISR to Supplier from time to time, shall constitute grounds for stoppage of the Works, for relieving or releasing Supplier of any of its responsibilities, duties, obligations or liabilities pursuant to this Agreement, for cancellation or termination of this Agreement by Supplier or for withdrawal from the Works. 5.7.3. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISR, the IPM shall – upon notice from Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what works, matters or actions are to be performed by Supplier and in what manner and order of sequence. Supplier shall thereupon be bound to comply and implement such instruction. In case any such instruction with regard to an omission involves matters of price or terms of payment or timetable, such matters shall be settled by mutual agreement (prices shall be based upon the rates specified in the Consideration Annex or pursuant thereto) – without derogating from Supplier’s obligation to execute such instructions given by the IPM.

In the event that ISR requests Supplier to perform Works that are not part of the Works under this Agreement, Parties shall discuss in good faith the price of adjustment. 4.7.3 Supplier shall advise ISR in writing, immediately and in any case within no more than five (5) days, upon becoming aware of any suspected or actual contradiction or discrepancies between the provisions of, or any omission in, any of the various documents forming this Agreement.

In case any such instruction with regard regards to an omission involves matters of price or terms of payment or timetable, such matters shall be settled by mutual agreement in writing in accordance with the provisions of Section 15 herein (prices shall be based upon the rates prices specified in the Consideration Annex or pursuant thereto) – without derogating from Supplier’s obligation to execute such instructions given Works as instructed by the IPM. In the event that ISR requests Supplier to perform Works that are not part of the Works under this Agreement, Parties shall discuss in good faith the price of adjustment. 4.7.3. Supplier shall advise ISR in writing, immediately and in any case within no more than five (5) days, upon becoming aware of any suspected or actual contradiction or discrepancies between the provisions of, or any omission in, any of the various documents forming this Agreement.

Discrepancies and Omissions. 5.7.14.6.1. Supplier represents that wherever it becomes aware and/or should have become aware of any suspected or actual contradiction or discrepancies there is a discrepancy between the provisions ofTechnical Specifications, Supplier's proposal to the Tender (Annex A2), drawings or any omission in, any other documents constituting a part of the various documents forming this Agreement, it shall notify its prices reflect the ISR in writingtype of materials, immediately construction, works or other relevant element, item or unit best suited (to ISR) and in any event within no more than five consistent with the Technical Specifications and Supplier's proposal to the Tender (5) days of becoming aware. 5.7.2Annex A2). No inaccuracies, errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities in or between any of the provisions of this Agreement, or any information or instructions communicated or given by ISR to Supplier from time to time, shall constitute grounds for stoppage of the Works, for relieving or releasing Supplier of any of its responsibilities, duties, obligations or liabilities pursuant to this Agreement, for cancellation or termination of this Agreement by Supplier or for withdrawal from the Works. 5.7.34.6.2. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISR, the IPM shall – upon notice from Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what worksWorks, matters or actions things are to be performed done by Supplier and in what manner and order of sequenceorder. Supplier shall thereupon be bound to comply do such Works, matters and implement such instructionthings as instructed. No inaccuracies, errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities in or between any of the provisions of this Agreement, or any information or instructions communicated or given by ISR ASSOCIATION to the Supplier from time to time, shall constitute grounds (i) for stoppage of the Works, (ii) for relieving or releasing the Supplier of any of its responsibilities, duties, obligations or liabilities pursuant to this Agreement, (iii) for cancellation or termination of this Agreement by Supplier the Supplier, or (iv) for withdrawal from the Works. 5.7.34.6.2. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISRASSOCIATION, the IPM HPM shall – upon notice from the Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what works, matters or actions things are to be performed done by the Supplier and in what manner and order of sequenceorder. The Supplier shall thereupon be bound to comply do such works, matters and implement such instructionthings as instructed. In case any such instruction with regard to an omission involves matters of price or terms of payment or timetable, such matters shall be settled by mutual agreement in writing in accordance with the provisions of Section 19 herein (prices shall be based upon the rates prices specified in the Consideration Annex Appendix or pursuant thereto) – without derogating from the Supplier’s obligation to execute such instructions given Works as instructed by the IPMHPM. 4.6.3. The Supplier shall advise ASSOCIATION in writing, immediately and in any case within no more than five (5) days, upon becoming aware of any suspected or actual contradiction or discrepancies between the provisions of, or any omission in, any of the various documents forming this Agreement.

Supplier shall thereupon be bound to comply do such works, matters and implement such instructionthings as instructed. Supplier represents that wherever it becomes aware and/or should have become aware of any suspected or actual contradiction or discrepancies there is a discrepancy between the provisions ofTechnical Specifications (Annex A1) and/or the Grinding/Milling Services Specification (Annex A2), Supplier's proposal to the Tender (Annex A3), drawings or any omission in, any other documents constituting a part of the various documents forming this Agreement, it shall notify its prices reflect the ISR in writingtype of materials, immediately construction, works or other relevant element, item or unit best suited (to ISR) and in any event within no more than five consistent with the Technical Specifications (5Annex A1) days of becoming aware. 5.7.2and/or the Grinding/Milling Services Specifications (Annex A2) and Supplier's proposal to the Tender (Annex A3). No inaccuracies, errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities in or between any of the provisions of this Agreement, or any information or instructions communicated or given by ISR to Supplier from time to time, shall constitute grounds for stoppage of the Works, for relieving or releasing Supplier of any of its responsibilities, duties, obligations or liabilities pursuant to this Agreement, for cancellation or termination of this Agreement by Supplier or for withdrawal from the Works. 5.7.34.6.2. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISR, the IPM shall – upon notice from Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what works, matters or actions things are to be performed done by Supplier and in what manner and order of sequenceorder. Supplier shall thereupon be bound to comply do such works, matters and implement such instructionthings as instructed. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISR, the IPM shall – upon notice from the Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what works, matters or actions things are to be performed done by the Supplier and in what manner and order of sequenceorder. The Supplier shall thereupon be bound to comply do such works, matters and implement such instructionthings as instructed. In case any such instruction with regard to an omission involves matters of price or terms of payment or timetable, such matters shall be settled by mutual agreement in writing in accordance with the provisions of Section 2727 herein (prices shall be based upon the rates prices specified in the Consideration Annex or pursuant thereto) – without derogating from the Supplier’s obligation to execute such instructions given Works as instructed by the IPM. 4.6.3. The Supplier shall advise ISR in writing, immediately and in any case within no more than five (5) days, upon becoming aware of any suspected or actual contradiction or discrepancies between the provisions of, or any omission in, any of the various documents forming this Agreement.

No inaccuracies, errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities in or between any of the provisions of this Agreement, or any information or instructions communicated or given by ISR ASSOCIATION to the Supplier from time to time, shall constitute grounds (i) for stoppage of the Works, (ii) for relieving or releasing the Supplier of any of its responsibilities, duties, obligations or liabilities pursuant to this Agreement, (iii) for cancellation or termination of this Agreement by Supplier the Supplier, or (iv) for withdrawal from the WorksWorks provided that the inaccuracies , errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities are the result of any action and/or omission and/or negligence of Supplier and/or any third party on its behalf. 5.7.34.6.2. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISRASSOCIATION, the IPM HPM shall – upon notice from the Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what works, matters or actions things are to be performed done by the Supplier and in what manner and order of sequenceorder. The Supplier shall thereupon be bound to comply do such works, matters and implement such instructionthings as instructed. In case any such instruction with regard to an omission involves matters of price or terms of payment or timetable, such matters shall be settled by mutual agreement in writing in accordance with the provisions of Section 19 herein (prices shall be based upon the rates prices specified in the Consideration Annex Appendix or pursuant thereto) – without derogating from the Supplier’s obligation to execute such instructions given Works as instructed by the IPMHPM. 4.6.3. The Supplier shall advise ASSOCIATION in writing, immediately and in any case within no more than five (5) days, upon becoming aware of any suspected or actual contradiction or discrepancies between the provisions of, or any omission in, any of the various documents forming this Agreement.

Discrepancies and Omissions. 5.7.14.6.1. Supplier represents that wherever it becomes aware and/or should have become aware of any suspected or actual contradiction or discrepancies there is a discrepancy between the provisions ofTechnical Specifications, Supplier's proposal to the Process (Annex A1), drawings or any omission in, any other documents constituting a part of the various documents forming this Agreement, it shall notify its prices reflect the ISR in writingtype of materials, immediately construction, works or other relevant element, item or unit best suited (to ISR) and in any event within no more than five consistent with the Technical Specifications and Supplier's proposal to the Process (5) days of becoming aware. 5.7.2Annex A1). No inaccuracies, errors, misstatements, omissions, discrepancies, defective or incomplete descriptions, contradictions or ambiguities in or between any of the provisions of this Agreement, or any information or instructions communicated or given by ISR to Supplier from time to time, shall constitute grounds for stoppage of the Works, for relieving or releasing Supplier of any of its responsibilities, duties, obligations or liabilities pursuant to this Agreement, for cancellation or termination of this Agreement by Supplier or for withdrawal from the Works. 5.7.34.6.2. Should any works, matters or things required for the proper execution and completion of the Works be omitted from this Agreement by ISR, the IPM shall – upon notice from Supplier to that effect or on its own initiative – give necessary explanations and instructions and decide what works, matters or actions things are to be performed done by Supplier and in what manner and order of sequenceorder. Supplier shall thereupon be bound to comply do such works, matters and implement such instructionthings as instructed.
