Discussion ForumThe agency may provide a forum for discussion among local and state officials and other interested parties of common regional issues.
Discussion Forum. A forum shall be established with five (5) members appointed by the Board and five (5) members appointed by the Association. The purpose of such forum shall be to constructively exchange ideas and information regarding curriculum, discipline issues and other district concerns. Co-chairpersons shall be elected by each group of appointees. The co-chairpersons shall have the responsibility to set the agenda for each meeting. There shall be at least 2 meetings yearly (November, April). Other meetings will be scheduled upon mutual agreement of the co-chairpersons.

Discussion Forum. 14.1 The parties have established a forum for discussions of possible disagreements that may arise in connection with the supply and purchase of concerned Products, such as the introduction of new Products, modification of existing Products, negotiations of further Supply Channel Contracts. 14.2 The discussion forum shall consist of two persons of which each Party shall nominate one. If one Party wishes to replace the person nominated by it, the Party concerned shall notify the other Party in writing of the replacement. The persons appointed by the Parties shall also be entitled to ask in-house experts to participate in any negotiation to discuss specific topics. 14.3 The discussion forum shall meet whenever reasonably requested by a Party. Such request shall be submitted in writing and shall contain such documents and information as is relevant and necessary for the other Party to prepare for a discussion.

Discussion Forum. Company may provide on its website a discussion forum via which You may report any difficulties or problems You encounter while using the services contemplated under this Agreement ("User Report"). Company will in its sole discretion determine if a User Report identifies a material problem. In the event Company determines a User Report identifies a material problem, Company will make a commercially reasonable effort to implement an appropriate solution. Company is not liable to You for the interruption of service (if any) or the unavailability of any Licensed Services that may occur as a result of implementing such correction measures.
Discussion Forum. Shoprite Checkers and UNI Global Union will meet for the purposes of sharing relevant information about Shoprite Checkers’ business subject to the following: a) Shoprite Checkers and a UNI Global Union delegation will meet on not more than one occasion each year. These meetings will be held in Cape Town, South Africa, or at any other mutually acceptable venue. b) A meeting will last as long as necessary, but not more than a day, unless otherwise agreed. c) At the joint meeting Shoprite Checkers management will communicate general information regarding Shoprite Checkers' activities and prospects and their impact on employees' interests. The information may include the following: (i) Operational issues relating to Shoprite Checkers at global level; (ii) Current retail activities, focusing on the most significant geographical areas; (iii) Overview of the group’s industrial relations in different countries where it operates; (iv) Activities and programmes concerning social responsibility; (v) Health and safety at the workplace.

  • Forum Indemnitee shall be entitled to select the forum in which determination of whether or not Indemnitee has met the applicable standard of conduct shall be decided, and such election will be made from among the following: a. Those members of the Board who are Independent Directors even though less than a quorum; b. A committee of Independent Directors designated by a majority vote of Independent Directors, even though less than a quorum; or c. Independent Counsel selected by Indemnitee and approved by the Board, which approval may not be unreasonably withheld, which counsel shall make such determination in a written opinion. If Indemnitee is an officer or a director of the Company at the time that Indemnitee is selecting the forum, then Indemnitee shall not select Independent Counsel as such forum unless there are no Independent Directors or unless the Independent Directors agree to the selection of Independent Counsel as the forum. The selected forum shall be referred to herein as the “Reviewing Party”. Notwithstanding the foregoing, following any Change in Control subsequent to the date of this Agreement, the Reviewing Party shall be Independent Counsel selected in the manner provided in c. above.

  • Governing Law; Forum This Agreement and all disputes or controversies arising out of or relating to this Agreement shall be governed by, and construed in accordance with, the internal laws of the State of Delaware, without regard to principles of conflicts of laws. Each Holder agrees that it shall bring any litigation with respect to any claim arising out of or related to this Agreement, exclusively in the Delaware Court of Chancery (and if jurisdiction in the Delaware Court of Chancery shall be unavailable, the state and federal courts in the State of Delaware) (together with the appellate courts thereof, the “Chosen Courts”). In connection with any claim arising out of or related to this Agreement, each Holder hereby irrevocably and unconditionally (i) submits to the exclusive jurisdiction of the Chosen Courts, (ii) waives any objection that such Person may now or hereafter have to the laying of venue of any action or proceeding arising out of or relating to this Agreement in the Chosen Courts, (iii) waives any objection that the Chosen Courts are an inconvenient forum or as not having jurisdiction over either the Corporation or the Holder, (iv) agrees that service of process in any such action or proceeding shall be effective if notice is given in accordance with Section 5(d), although nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law and (v) agrees not to seek a transfer of venue on the basis that another forum is more convenient. Notwithstanding anything herein to the contrary, (A) nothing in this Section 5(e) shall prohibit any party from seeking or obtaining orders for conservatory or interim relief from any court of competent jurisdiction and (B) each Holder agrees that any judgment issued by a Chosen Court may be recognized, recorded, registered or enforced in any jurisdiction in the world and waives any and all objections or defenses to the recognition, recording, registration or enforcement of such judgment in any such jurisdiction.

  • Governing Law; Dispute Resolution (a) This Limited Guarantee shall be interpreted, construed and governed by and in accordance with the Laws of the State of New York without regard to the conflicts of law principles thereof that would subject such matter to the Laws of another jurisdiction other than the State of New York. (b) Any disputes, actions and proceedings against any party or arising out of or in any way relating to this Limited Guarantee shall be submitted to the Hong Kong International Arbitration Centre (the “HKIAC”) and resolved in accordance with the Arbitration Rules of HKIAC in force at the relevant time (the “Rules”) and as may be amended by this Section 10(b). The place of arbitration shall be Hong Kong. The official language of the arbitration shall be English and the arbitration tribunal shall consist of three arbitrators (each, an “Arbitrator”). The claimant(s), irrespective of number, shall nominate jointly one Arbitrator; the respondent(s), irrespective of number, shall nominate jointly one Arbitrator; and a third Arbitrator will be nominated jointly by the first two Arbitrators and shall serve as chairman of the arbitration tribunal. In the event the claimant(s) or respondent(s) or the first two Arbitrators shall fail to nominate or agree on the joint nomination of an Arbitrator or the third Arbitrator within the time limits specified by the Rules, such Arbitrator shall be appointed promptly by the HKIAC. The arbitration tribunal shall have no authority to award punitive or other punitive-type damages. The award of the arbitration tribunal shall be final and binding upon the disputing parties. Any party to an award may apply to any court of competent jurisdiction for enforcement of such award and, for purposes of the enforcement of such award, the parties irrevocably and unconditionally submit to the jurisdiction of any court of competent jurisdiction and waive any defenses to such enforcement based on lack of personal jurisdiction or inconvenient forum. (c) Notwithstanding the foregoing, the parties hereto consent to and agree that in addition to any recourse to arbitration as set out in Section 10(b), any party may, to the extent permitted under the Laws of the jurisdiction where application is made, seek an interim injunction from a court or other authority with competent jurisdiction and, notwithstanding that this Agreement is governed by the Laws of the State of New York, a court or authority hearing an application for injunctive relief may apply the procedural Law of the jurisdiction where the court or other authority is located in determining whether to grant the interim injunction. For the avoidance of doubt, this Section 10(c) is only applicable to the seeking of interim injunctions and does not restrict the application of Section 10(b) in any way.
