Disposables. Distributor agrees to meet the following cumulative Sales Targets for Single Use Breathing Inserts (Disposables) in the combined European Territory and Taiwanese Territory in the years 2002 and 2003: Year 2002: [*] total units, with [*] of those units purchased before March 27, 2002. To facilitate Distributor inventory sufficient to meet the above minimum Sales Targets, the following minimum Distributor purchase volumes per calendar quarter are required. Disposables. The Board shall provide in its rules for the provision and budgeting for disposables for use in the Lab.
Disposables. ICB will provide to Licensee, for an additional charge, the Disposables necessary for Tissue Processing pursuant to this Agreement and as required by the ICB Protocol. Disposables. In addition to any limited warranties set forth below, each of Volcano’s respective Disposables IFU contains a Limited Warranty, which Limited Warranties are hereby collectively incorporated herein by reference. Disposables indicated as intended for single patient use in the applicable Intended Uses are warranted for single patient use prior to the expiration date specified on the package labeling. Disposables indicated as reusable in the applicable Intended Uses are warranted for the number of uses indicated prior to the expiration date specified on the package labeling. The foregoing warranties apply only in favor of the Customer specifically identified in the Cover Documents. If any Disposable is found upon examination by Volcano to be defective during the warranty period, Volcano agrees, at Volcano’s sole option and as Customer’s SOLE REMEDY, either to repair or replace the defective Disposable. No Disposable shall be returned to Volcano without the prior written authorization of Volcano. All claims of errors, defects or deficiencies regarding the Disposables must be made as soon as reasonably practicable. Volcano requires a Return Material Authorization (RMA) number for all returned items. RMAs are issued by Volcano Customer Service through facsimile notification at 000-000-0000. Disposables will not be accepted for warranty purposes unless the return has been authorized by Volcano and unless effected in accordance with these terms. Volcano shall not be responsible for any losses or damages of any nature arising out of Customer’s failure to comply with the provisions of this Section 7. Volcano will issue RMAs, and will accept return of any Disposables, that have either been mandatorily or voluntarily recalled.
Disposables. For a period of five (5) years from the Effective Date ----------- of this Agreement, MEDI-JECT agrees to notify BECTON in writing no more than (***) months before MEDI-JECT either commits capital to manufacture or commits to a third-party to manufacture for it more than (***) DISPOSABLES per calendar year and MEDI-JECT agrees to negotiate with BECTON, before any others, for exclusive rights to manufacture such DISPOSABLE for MEDI-JECT. BECTON shall have (***) days after receiving such written notification to notify MEDI-JECT if BECTON desires to exercise its right of first refusal. Failure to provide such notice in a timely manner shall result in a forfeiture of such right of first refusal as to such DISPOSABLE. Upon receipt of notice by MEDI-JECT from BECTON that it intends to exercise its right of first refusal, BECTON and MEDI-JECT shall negotiate, in good faith and in an expeditious manner, terms and conditions satisfactory to both parties under which BECTON would exclusively manufacture and sell such DISPOSABLE, unless otherwise agreed to by the parties. If the parties are unable to agree on the terms and conditions of an agreement within a period of (***) days after receiving the notification from MEDI-JECT provided for under this Paragraph, MEDI-JECT shall be free to offer the same rights to such DISPOSABLE as were offered to BECTON to any third party on terms no more favorable in the aggregate to that third party than the terms last offered to BECTON.
