Dispute Defined. As used in this Agreement, “Dispute” shall mean (i) any controversy, dispute, disagreement, or claim among the Parties in connection with, relating to, or arising out of this Agreement, including, without limitation, any issue or question regarding its existence, validity, interpretation, performance, non-performance, any breach or alleged breach by any Party under this Agreement, or any other matter relating in any way to this Agreement, whether sounding in contract or in tort.
