DISPUTES AND LITIGATION. Except as set forth in Schedule 2.1.7, (a) there are no suits, actions, litigation, proceedings, investigations, claims, complaints, or accusations pending, threatened against, or affecting YFG or any of its properties, assets or business or to which it is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG or any of its properties, assets or businesses. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG or any such person’s heirs, executors or administrators as against YFG.

Except as for those matters set forth in Schedule 2.1.7on ------------------------- SCHEDULE 2.1.8, (a) there are is no suitssuit, actionsaction, litigation, proceedingsproceeding, investigationsinvestigation, claimsclaim, complaintscomplaint, or accusations accusation pending, threatened against, against or affecting YFG WLF or any of its properties, assets or business or to which it WLF is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG WLF or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG WLF or any of its properties, assets or businessesbusiness. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG WLF or any such person’s 's heirs, executors or administrators as against YFGWLF.

Except as set forth in Schedule 2.1.7the GTW Disclosure Schedule, (a) there are is no suitssuit, actionsaction, litigation, proceedingsproceeding, investigationsinvestigation, claimsclaim, complaintscomplaint, or accusations accusation pending, or to its knowledge threatened against, against or affecting YFG GTW or any of its properties, assets or business or to which it GTW is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and to its knowledge, there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG GTW or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG GTW or any of its properties, assets or businessesbusiness. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG GTW or any such person’s 's heirs, executors or administrators as against YFGGTW.

Except as set forth in Schedule 2.1.73.1.7, (a) there are no suits, actions, litigation, proceedings, investigations, claims, complaints, or accusations pending, pending threatened against, or affecting YFG MEI or any of its properties, assets or business or to which it is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG MEI or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG MEI or any of its properties, assets or businesses. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG MEI or any such person’s 's heirs, executors or administrators as against YFGMEI.

Except as for those matters set forth in Schedule 2.1.7on ------------------------- SCHEDULE 2.2.6, (a) there are is no suitssuit, actionsaction, litigation, proceedingsproceeding, investigationsinvestigation, claimsclaim, complaintscomplaint, or accusations accusation pending, threatened against, against or affecting YFG Xelex or any of its properties, assets or business or to which it Xelex is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG Xelex or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG Xelex or any of its properties, assets or businessesbusiness. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG Xelex or any such person’s 's heirs, executors or administrators as against YFGXelex.

Except as set forth in Schedule 2.1.73.1.4, (a) there are is no suitssuit, actionsaction, litigation, proceedingsproceeding, investigationsinvestigation, claimsclaim, complaintscomplaint, or accusations accusation pending, threatened against, against or affecting YFG RJM, or any of its properties, assets or business or to which it is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and to the knowledge of RJM there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) to the knowledge of RJM, there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG RJM or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG RJM or any of its properties, assets or businessesbusiness. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG RJM, or any such person’s heirs, executors or administrators as against YFGRJM.

Except as set forth in on Schedule 2.1.7, (a) ------------------------- there are is no suitssuit, actionsaction, litigation, proceedingsproceeding, investigationsinvestigation, claimsclaim, complaintscomplaint, or accusations accusation pending, threatened against, against or affecting YFG Digital West or any of its properties, assets or business or to which it Digital West is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG Digital West or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG Digital West or any of its properties, assets or businessesbusiness. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG Digital West or any such person’s 's heirs, executors or administrators as against YFGDigital West.

Except as for those matters set forth in Schedule 2.1.7, on ------------------------ SCHEDULE 2.1.14 (a) there are is no suitsmaterial suit, actionsaction, litigation, proceedingsproceeding, investigationsinvestigation, claimsclaim, complaintscomplaint, or accusations accusation pending, threatened against, against or affecting YFG Automax or any of its properties, assets or business or to which it Automax is a party, in any court or before any arbitrator of any kind or before or by any governmental agency (including, without limitation, any federal, state, local, foreign or other governmental department, commission, board, bureau, agency or instrumentality), and there is no basis for such suit, action, litigation, proceeding, investigation, claim, complaint, or accusation; (b) there is no pending or threatened change in any environmental, zoning or building laws, regulations or ordinances which affect or could affect YFG Automax or any of its properties, equipment, assets or businesses; and (c) there is no outstanding order, writ, injunction, decree, judgment or award by any court, arbitrator or governmental body against or affecting YFG Automax or any of its properties, assets or businessesbusiness. There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG Automax or any such person’s 's heirs, executors or administrators as against YFGAutomax.

There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of YFG 2TM or any such person’s 's heirs, executors or administrators as against YFG2TM.
