Common use of Disqualifying Interest Clause in Contracts

Disqualifying Interest. Without limiting Articles 74-76 of the Articles, the Company shall ensure that no Relevant Employee of the Company shall have a Disqualifying Interest except: (a) with the prior approval of the Audit and Risk Committee and no person shall be nominated for appointment or remain in office as a Director if he has or acquires a Disqualifying Interest unless the prior approval of the Audit and Risk Committee has been given in respect of that person’s appointment and/or continuation in office as a Director; or (b) to the extent that the Relevant Employee is an Industry Director and the Disqualifying Interest arises solely from their employment in the Railway Industry.
