Common use of Distributions of Net Cash Flow Clause in Contracts

Distributions of Net Cash Flow. Subject to Article XI, the Partnership shall distribute to the Partners any Net Cash Flow at such times as the General Partner shall reasonably determine to be appropriate. Distributions of Net Cash Flow shall be made to the Partners in accordance with their respective Partnership Interests. Notwithstanding the foregoing, the Partners acknowledge that the interest of the JMB Limited Partner is subject to a Second Amended, Restated and Consolidated Security Agreement dated as of the date hereof being executed and delivered pursuant to the Plan and the JMB Limited Partner agrees that the General Partner shall be authorized to pay any distributions otherwise payable to the JMB Limited Partner hereunder to or at the direction of the holder of the Second Amended, Restated and Consolidated Promissory Note secured thereby.
