Common use of District’s Termination of Architect for Cause Clause in Contracts

District’s Termination of Architect for Cause. If Architect fails to perform Architect’s duties to the satisfaction of the District, or if Architect fails to fulfill in a timely and professional manner Architect’s material obligations under this Agreement, or if Architect shall violate any of the material terms or provisions of this Agreement, the District shall have the right to terminate this Agreement, in whole or in part, effective immediately upon the District giving written notice thereof to the Architect. In the event of a termination pursuant to this subdivision, Architect may invoice the District for all Services performed until the notice of termination, but the District shall have the right to withhold payment and deduct any amounts equal to the District’s costs because of Architect’s actions, errors, or omissions.
