Divisional and Continuation Sample Clauses
The Divisional and Continuation clause outlines the rights and procedures for filing additional patent applications related to an original patent filing, such as divisional, continuation, or continuation-in-part applications. This clause typically specifies which party has the authority to file these subsequent applications, how inventions disclosed in the original application may be further protected, and how ownership or prosecution responsibilities are allocated. Divisional and Continuation. The Parties agree that, upon Alzheon’s request, the Licensor shall pursue additional patent claims under the Other Licensed Patent Rights through the filing of one or more divisionals or continuations in order to provide protection in respect of a product being developed by Alzheon. Alzheon shall promptly (and in any event within [ * ] of presentation of an invoice therefor by the Licensor) pay [ * ] incurred by the Licensor in connection with such request (including, without limitation, [ * ]). Alzheon may direct the drafting of such divisionals and continuations and review and comment on such filings, provided that, subject to Section 7.1.2, Alzheon shall have final decision making authority in all matters relating to the drafting, reviewing and approving of filings made in relation to such divisionals and continuations. For avoidance of doubt, any preparation, filing, prosecution, obtaining and maintaining obligations with respect to any divisional and continuation related to the BLU8499 Patent Rights shall be subject to the provisions of Section 7.1.1.
Divisional and Continuation. The Parties agree that ▇▇▇▇▇ and Cardiol will consult and reach agreement on whether or not to pursue additional patent claims regarding the Project Products under the Meros Patent Rights through the filing of one or more divisionals or continuations under Meros Patent Rights. ▇▇▇▇▇ shall direct the drafting of the filings and review such filings in advance with Cardiol and Cardiol shall pay the cost and expense therefor. However, if the Parties do not agree on whether or not to pursue additional claim or claims as described above and ▇▇▇▇▇ wishes to proceed it may proceed but it shall pay the cost and expense therefor.
