Documents Affecting Immunity or Indemnity. If in the opinion of the Trustee any document required to be executed by it pursuant to the terms of Section 9.01 or 9.02 affects any interest, right, duty, immunity or indemnity in favor of the Trustee under this Basic Agreement or any Trust Supplement, the Trustee may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of the Pass Through Trustee any document required to be executed by it pursuant to the terms of Section 9.1 or 9.2 affects any interest, right, duty, immunity or indemnity in favor of the Pass Through Trustee under this Pass Through Trust Agreement, the Pass Through Trustee may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of the Certificate Trustee any document required to be executed by it pursuant to the terms of Section 7.01 or 7.02 adversely affects any interest, right, duty, immunity or indemnity in favor of the Certificate Trustee under this Certificate Indenture, the Certificate Trustee may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the ----------------------------------------- opinion of the Certificate Trustee or the Delaware Trustee any document required to be executed by it pursuant to the terms of Section 8.01 or 8.02 affects any interest, right, duty, immunity or indemnity in favor of such entity under this Trust Agreement, the Certificate Trustee or the Delaware Trustee may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of the Company or the Trustee any document required to be executed by it pursuant to the terms of Section 11.02 affects any interest, right, duty, immunity or indemnity in favor of the Company or the Trustee under this Indenture or any of the Participation Agreements, the Company or the Trustee, as the case may be, may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of Funding Corp. or the Trustee any document required to be executed by it pursuant to the terms of Section 11.2 affects any interest, right, duty, immunity or indemnity in favor of Funding Corp. or the Trustee under this Indenture, Funding Corp. or the Trustee, as the case may be, may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the ----------------------------------------- opinion of the Issuer or the Trustee any document required to be executed by it pursuant to the terms of Section 12.2 affects any interest, right, duty, ------------ immunity or indemnity in favor of the Issuer or the Trustee under this Indenture, the Issuer or the Trustee, as the case may be, may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of the Security Trustee or the Agent any document required to be executed pursuant to the terms of Clause 8.29 hereof affects any interest or right or duty or immunity or indemnity in favor of the Security Trustee or the Agent under this Agreement or any Security Document, the Security Trustee or the Agent, as the case may be, may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of the Pass Through Trustee, the Paying Agent or the Registrar any document required to be executed by any of them pursuant to the terms of Section 10.01 or 10.02 affects any interest, right, duty, immunity or indemnity in favor of such party under this Trust Agreement, such party may in its discretion decline to execute such document.
Documents Affecting Immunity or Indemnity. If in the opinion of the Pass Through Trustee any document required to be executed by it pursuant to the terms of Section 9.1 or 9.2 affects any interest, right, duty, immunity or indemnity in favor of the Pass Through Trustee under this Pass Through Trust Agreement, the Pass Through Trustee may in its discretion decline to execute such document. Execution of Supplemental Trust Agreements. In executing, or accepting the additional trusts created by, any supplemental agreement permitted by this Article or the modification thereby of the trusts created by this Pass Through Trust Agreement, the Pass Through Trustee shall be entitled to receive, and (subject to Section 7.1) shall be fully protected in relying upon, an Opinion of Counsel stating that the execution of such supplemental agreement is authorized or permitted by this Pass Through Trust Agreement.
