Common use of Documents and Property Clause in Contracts

Documents and Property. (iii) All records, files, documents, and other materials or copies thereof relating to the business of the Employer or the Affiliates that Executive prepares, receives, or uses shall be and remain the sole property of the Employer and, other than in connection with the performance by Executive of Executive’s duties hereunder, shall not be removed from the premises of the Employer or the Affiliates without the Employer’s prior written consent, and shall be immediately returned to the Employer upon Executive’s termination of employment for any reason, together with all copies (including copies or recordings in electronic form), abstracts, notes, or reproductions of any kind made from or about the records, files, documents, or other materials. Executive shall disclose to the Employer all computer and internet user identifications and passwords used by Executive in the course of Executive’s performance of Executive’s duties hereunder or necessary for accessing information on the Employer’s or the Affiliates’ computer systems upon Executive’s termination of employment for any reason.
