Documents to be Delivered by the Buyer. At the Closing, the Buyer shall deliver to the Seller the following: (i) The portion of the Purchase Price required to be paid or issued at the Closing (i.e., cash, note and letter of credit); (ii) An executed counterpart of the Assignment and Assumption Agreement; and (iii) The certificates and other documents required to be delivered by the Buyer on or before the Closing Date pursuant to Section 7.2 hereof or any other provision of this Agreement.
