Governmental Filing or Grant Fees. Any filing or grant fees imposed by any governmental authority the consent of or filing with which is required for the consummation of the transactions contemplated hereby, including but not limited to, the FCC, the FTC, and the Department of Justice shall be borne equally by Buyer and Seller.
