Documents to Be Given to Trustee. The Trustee, subject to the provisions of Sections 6.1 and 6.2, may receive an Officer’s Certificate and an Opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article 8 complies with the applicable provisions of this Indenture.

The Trustee, subject to the provisions of Sections Section 6.1 and 6.2Section 6.2 hereof, may receive an Officer’s Officers' Certificate and an Opinion of Counsel as conclusive evidence that any such supplemental indenture executed pursuant to this Article 8 complies with the applicable provisions of this Indenture.

The Trustee, subject to the provisions of Sections 6.1 5.1 and 6.25.2, may receive an Officer’s Officers' Certificate and an Opinion of Counsel as conclusive evidence that any such supplemental indenture executed pursuant to this Article 8 complies with the applicable provisions of this IndentureIndenture and is a legal, valid and binding obligation of the Issuer enforceable against the Issuer in accordance with its terms, subject to the customary exceptions. Such supplemental indenture will comply with the Trust Indenture Act of 1939.

The Trustee, subject to the provisions of Sections 6.1 and 6.2, may receive shall be provided with an Officer’s Officers’ Certificate and an Opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article 8 VIII complies with the applicable provisions of this IndentureIndenture and is the valid and binding obligation of the Issuer, enforceable against the Issuer in accordance with its terms, subject to customary exceptions.

The Trustee, subject to the provisions of Sections 6.1 SECTION 5.1 and 6.2SECTION 5.2 hereof, may shall receive an Officer’s Officers' Certificate and an Opinion of Counsel as conclusive evidence that any such supplemental indenture executed pursuant to this Article 8 complies with the applicable provisions of this IndentureIndenture and that all conditions precedent to the execution of such supplemental indenture have been met.

The Trustee, subject to the provisions of Sections Section 6.1 and Section 6.2, may receive an Officer’s 's Certificate and an Opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article 8 ARTICLE VII complies with the applicable provisions of this Indenture.

The Trustee, subject to the provisions of Sections 6.1 and 6.2, may receive an Officer’s 's Certificate and an Opinion opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article 8 complies with the applicable provisions of this Indenture.

The Trustee, subject to the provisions of Sections 6.1 and 6.2, may receive an Officer’s Officers' Certificate and an Opinion of Counsel Counsel, prepared in accordance with Section 11.5, as conclusive evidence that any supplemental indenture executed pursuant to this Article 8 complies with the applicable provisions of this Indenture.
