Election To Redeem; Notices to Trustee. If the Issuer elects to redeem Notes pursuant to paragraph 6 of the Notes, at least 45 days prior to the Redemption Date (unless a shorter notice shall be agreed to in writing by the Trustee) but not more than 65 days before the Redemption Date, the Issuer shall notify the Trustee in writing of the Redemption Date, the principal amount of Notes to be redeemed and the redemption price, and deliver to the Trustee an Officers’ Certificate stating that such redemption will comply with the conditions contained in paragraph 6 of the Notes. Notice given to the Trustee pursuant to this Section 3.01 may not be revoked after the time that notice is given to Holders pursuant to Section 3.03.

Election To Redeem; Notices to Trustee. Notes of any series that are redeemable before their Stated Maturity shall be redeemable in accordance with their respective terms and (except as otherwise specified as contemplated by Section 2.01 for Notes of any series) in accordance with this Article III. If the Company elects to redeem any Notes pursuant to this Article III, at least 10 days prior to the Redemption Date (unless a shorter period is acceptable to the Trustee and the Paying Agent) but not more than 60 days prior to the Redemption Date (unless a longer period is acceptable to the Trustee and the Paying Agent), the Company shall notify the Trustee and the Paying Agent in writing of the series of Notes to be redeemed, the Redemption Date and the principal amount of such Notes to be redeemed and the Redemption Price, and deliver to the Trustee and the Paying Agent, no later than two Business Days prior to the Redemption Date (unless a shorter period is acceptable to the Trustee and the Paying Agent), an Officer’s Certificate stating that such redemption will comply with the conditions contained this Article III. Any such notice may be canceled at any time prior to the mailing of such notice of such redemption to any Holder and shall thereupon be void and of no effect. The notice shall reflect the conditions to the redemption and shall be specified by the Company.

Notice given to the Trustee pursuant to this Section 3.02 may, at the Company’s discretion, be subject to the satisfaction of one or more conditions precedent.

The Issuers shall give each notice provided for in this Section 3.1 at least 30 days before the Redemption Date (unless a shorter notice shall be agreed to by the Trustee in writing), together with an Officers' Certificate of each of the Issuers stating that such redemption will comply with the conditions contained herein and in the Securities.
