Common use of Due Diligence Expenses Clause in Contracts

Due Diligence Expenses. Subject to the provisions of Section 3.7 herein, the Company will reimburse the Managing Dealer for detailed and itemized bona fide due diligence expenses incurred by the Managing Dealer or reimbursed by the Managing Dealer to the Participating Brokers in connection with the Offering. Such due diligence expense reimbursement will not exceed one-half of one percent (0.50%) of the Gross Proceeds, as defined in the Prospectus, of the Offering. All due diligence expense reimbursements paid by the Managing Dealer to Participating Brokers shall be reimbursed by the Company to the Managing Dealer, subject to such Participating Broker providing detailed and itemized invoices supporting such expenses and receiving prior approval from the Managing Dealer and the Company.
