Title Report and Survey. The Company has obtained and delivered to the Agency (i) a title report (in form and substance acceptable to the Agency) reflecting all matters of record with respect to the Land and existing Improvements, including municipal searches and
Title Report and Survey. Prior to the Effective Date, Seller has provided Buyer with (a) a current title report for the Real Property, prepared by First American Title Insurance Company (the "Title Company") under order Xx. XXX-000000-XX, dated as of June 23, 2006 (the "Title Report"), (b) copies of documents referenced in the exceptions set forth in the Title Report, and (c) the Survey. In addition to any and all exceptions approved by Seller pursuant to Section 5.1.1 below, the Title Report shall be subject to and Buyer hereby approves as "Permitted Exceptions" the following: (i) exceptions for general taxes and assessments not yet due and payable, (ii) matters affecting title attributable to the acts of Buyer and its agents, contractors and employees, (iii) provision of existing laws, rules and regulations including, without limitation, building, zoning and environmental laws, (iv) any lien for municipal betterments assessed against the Property and (v) the Stoke Lease, including the right of first offer in Section 22 thereof.
5.1.1 Buyer shall have seven (7) days after the Effective Date (such period herein called the “Title Objection Period”) to notify Seller and the Title Company in writing of Buyer’s approval or disapproval of any exceptions or other matters shown therein other than the Permitted Exceptions listed in Section 5.1, above (“Notice of Title Objection”) and to request any customary and reasonable endorsements to the Title Report that Buyer desires. If Buyer does not give Seller written notice of disapproval of any such matters or exceptions within the prescribed time, the Title Report, the Survey and the supporting documents shall be deemed approved (and all exceptions therein shall be deemed “Permitted Exceptions”) and this condition shall be deemed satisfied. Within five (5) days after receipt of Buyer’s notice of disapproval of any such matters or exceptions timely delivered to Seller, Seller shall notify Buyer in writing whether Seller is willing to remove any such item which Buyer has disapproved ("Seller's Cure Item"). If Seller does not give Buyer written notice within the prescribed period of time, Seller shall be deemed to have elected not to remove any such item which Buyer has disapproved and such items shall not be deemed Seller's Cure Items. If there are exceptions which Buyer has disapproved and which Seller is not willing to remove at Seller's expense, Buyer shall have until five (5) days after receipt of Seller's notice of
Title Report and Survey. Within ten (10) days after the date hereof, the Seller shall deliver to the Buyer's counsel copies of all existing title policies and surveys with respect to the Real Property.
Title Report and Survey. Buyer hereby acknowledges that it has received a copy of the Title Report and the Existing Survey, together with copies of all recorded documents referenced in the Title Report (the “Title Documents”). If Buyer desires Extended Coverage, Buyer may, at its sole expense, update or supplement the Existing Survey or replace it with a new Survey, so long as it obtains such updated, supplemental Survey, and delivers a copy of it to Seller, at least ten days before the Approval Date.

Buyer shall receive a preliminary title report or commitment for title insurance (the “Preliminary Title Report”), dated no earlier than 10 days before the Effective Date, covering the Property and issued by Chicago Title Insurance Company or companies acceptable to Buyer (the “Title Company”), together with a legible copy of each document, map and survey referred to in the Preliminary Title Report. Buyer, at Buyer’s sole cost, may obtain an as-built survey of the Property (the “Survey”) prepared by a certified land surveyor in accordance with the most recent American Land Title Association standards, certified by such surveyor to Buyer and the Title Company in a form acceptable to the Title Company for the purpose of deleting any survey exception from the Title Policy described in Section 4.1.3.

If Buyer wishes to object to a survey and/or title report (each a "Title Document") required to be delivered to Buyer with respect to each Owned Property or Leased Property, Buyer shall provide Seller with written notice of Buyer's objections with respect to a particular property ("Buyer's Title Notice") in reasonable specificity before: (a) if, prior to the date hereof, Buyer has received all Title Documents required to be delivered to Buyer with respect to a particular property, twenty-one (21) calendar days from the date hereof, or (b) if, prior to the date hereof, Buyer has not received all Title Documents required to be delivered to Buyer with respect to a particular property, twenty-one (21) calendar days from Buyer's receipt of all Title Documents with respect to a particular property.

Within two (2) business days after the Effective Date, Seller shall deliver the Survey to Buyer and shall cause Title Company to prepare the Title Report and to deliver the Title Report to Buyer, together with copies of all recorded documents referenced in the Title Report or on the Survey.

The parties acknowledge and agree that Seller has delivered and Buyer has received on or prior to the Effective Date (a) a copy of the Title Report and copies of all recorded documents referenced in the Title Report and (b) will deliver a current survey (“Survey”) (altogether, the “Title Documents”).

Promptly after Opening of Escrow, (i) Seller shall deliver to Buyer a copy of the existing ALTA survey of the Sale Property in Buyer's possession (the "SURVEY"), (ii) Escrow Agent shall issue to Buyer a preliminary title report incident to the issuance of the title policy referred to in Section 7.2, together with legible copies of matters shown on Schedule "B" thereto (the "TITLE REPORT"), and (iii) Buyer shall have prepared, at Buyer's expense, an update of the existing Survey (the "UPDATE").
