Common use of Due Execution and Delivery; Binding Agreement Clause in Contracts

Due Execution and Delivery; Binding Agreement. This Agreement has been duly executed and delivered by each Shareholder and, assuming the authorization, execution and delivery hereof by Pinnacle, constitutes a valid and binding agreement of each Shareholder enforceable against each Shareholder in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws of general applicability relating to or affecting creditors’ rights and to general equity principles.

Due Execution and Delivery; Binding Agreement. This Agreement has been duly executed and delivered by each Shareholder Pinnacle and, assuming the authorization, execution and delivery hereof by Pinnaclethe Shareholders, constitutes a valid and binding agreement of each Shareholder Pinnacle enforceable against each Shareholder Pinnacle in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws of general applicability relating to or affecting creditors’ rights and to general equity principles.

Due Execution and Delivery; Binding Agreement. This Agreement has been duly executed and delivered by each Shareholder and, assuming the authorization, execution such Equityholder and delivery hereof by Pinnacle, constitutes a valid and legally binding agreement obligation of each Shareholder such Equityholder, enforceable against each Shareholder such Equityholder in accordance with its terms, subject to the effects of bankruptcy, insolvency, fraudulent transferconveyance, reorganization, moratorium and other similar Laws of general applicability legal requirements relating to or affecting creditors’ rights generally and to general equitable principles (whether considered in a proceeding in equity principlesor at law).

Due Execution and Delivery; Binding Agreement. This Agreement has been duly executed and delivered by each Shareholder andthe Exiting Shareholder, assuming the authorization, execution and delivery hereof by Pinnacle, this Agreement constitutes a valid and binding agreement obligation of each Shareholder the Exiting Shareholder, enforceable against each Shareholder in accordance with its terms, except that such enforcement may be limited by bankruptcy, insolvency or other similar laws affecting the enforcement of creditors rights generally, and to the qualification that the availability of equitable remedies is subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws the discretion of general applicability relating to or affecting creditors’ rights and to general equity principlesthe court before which any proceeding therefore may be brought.

This Agreement has been duly executed and delivered by Stockholder and each Shareholder Significant Holder and, assuming the authorization, execution and delivery hereof by PinnacleParent, constitutes a valid and binding agreement of Stockholder and each Shareholder Significant Holder enforceable against Stockholder and each Shareholder Significant Holder in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws of general applicability relating to or affecting creditors’ ' rights and to general equity principles.. 2.4
