(b) The shares of Common Stock issuable upon consummation of the Stock Purchase have been duly authorized by all necessary corporate action on part of the Company, and, when issued and delivered by the Company pursuant to this Agreement against payment of the consideration therefor set forth herein, the shares of Common Stock so issued will be validly issued, fully paid and non- assessable and the Stockholder will acquire valid and marketable title to such shares, free and clear of any Encumbrances except as contemplated by this Agreement.
