Due Incorporation and Subsistence of the Company. The Company is a corporation duly incorporated and validly subsisting and in good standing under the Companies Act (Quebec). The Company has all necessary corporate power and authority to own or lease its property and assets and to carry on the Business as now being conducted by it and is duly qualified, licensed or registered to carry on the Business as now being conducted and is in good standing in all jurisdictions in which the nature of the businesses conducted by it or the property owned or leased by it makes such qualification, licensing or registration necessary, where the failure to be so qualified, licensed or registered would have a Material Adverse Effect.
