Due Registration, Etc. The Owned Intellectual Property, to the extent required, has been duly registered with, filed in or issued by, as the case may be, the United State Patent and Trademark Office, United States Copyright Office, the Ufficio Italiano Brevgtti E Marchi, and the Company has taken such other actions, to ensure full protection under any Applicable Laws or regulations, and such registrations, if any, filings, issuances and other actions remain in full force and effect.
Due Registration, Etc. To the extent deemed necessary or appropriate by Seller, the Owned Intellectual Property has been duly registered with, filed in or issued by, as the case may be, the United States Patent and Trademark Office, United States Copyright Office or such other filing offices, domestic or foreign, and Seller has taken such other reasonable steps to ensure full protection under any applicable laws or regulations, and such registrations, filings, issuances and other actions remain in full force and effect. Seller has no knowledge of any necessary steps to protect the Intellectual Property which have not been taken, which if not taken would jeopardize Seller's Rights to the Intellectual Property. In each case in which Seller has acquired any Intellectual Property related to the Business from any Person, Seller has obtained a valid and enforceable assignment sufficient to irrevocably transfer all rights in such Intellectual Property to Seller and, to the maximum extent provided for by, and in accordance with, applicable laws and regulations, Seller has recorded each such assignment with the relevant governmental authorities, including the PTO, the U.S. Copyright Office, or respective equivalents in any relevant foreign jurisdiction, as the case may be.
Due Registration, Etc. Company has no Intellectual Property that ------------------------ has been registered with, filed and/or issued by, as the case may be, the United States Patent and Trademark Office, United States Copyright Office or such other filing offices, domestic or foreign.

To the extent deemed necessary or appropriate by Seller, the Owned Intellectual Property has been duly registered with, filed in or issued by, as the case may be, the United States Patent and Trademark Office, United States Copyright Office or such other filing offices, domestic or foreign, and Seller has taken such other actions, to the extent deemed necessary or appropriate by Seller, to ensure full protection under any applicable laws or regulations, and such registrations, filings, issuances and other actions remain in full force and effect, in each case to the extent material to the Product Line.

Except as set forth in Schedule 2.13(g), the Owned Intellectual Property has been duly registered with, filed in or issued by, as the case may be, the United States Patent and Trademark Office, the United States Copyright Office or other filing offices, domestic or foreign, to the extent necessary or desirable to ensure full protection under any Law in the United States or in any other country where the Company does business, and such registrations, filings, issuances and other actions remain in full force and effect. Except as stated in Schedule 2.13(g), the Company has taken all necessary actions customary in the industry in which the Company operates to ensure full protection of the Company Intellectual Property (including maintaining the secrecy of all confidential Intellectual Property) under any Law in the United States or in any other country where the Company does business.

The Registered Intellectual Property has been duly registered with, filed in or issued by, as the case may be, the Canadian Intellectual Property Office, the United States Patent and Trademark Office, the United States Copyright Office or other filing offices, domestic or foreign, to the extent necessary to ensure full protection under any applicable Law, and, except as disclosed on Schedule 2.17(f), such registrations, filings, issuances and other actions remain in full force and effect. Except as disclosed on Schedule 2.17(f), Shareholders and the Company have taken all commercially reasonable actions to ensure protection of the Company Intellectual Property it is currently using (including maintaining the secrecy of all confidential Intellectual Property) under any applicable Law in the United States, Canada and other jurisdictions in which it conducts its business.

Except as set forth on Schedule 3.8(d), the Assumed Intellectual Property has been duly registered with, filed in or issued by, as the case may be, the United States Patent and Trademark Office, United States Copyright Office or such other filing offices, domestic or foreign. Each Seller and its Affiliates have taken such other actions, and to the knowledge of Sellers, no other actions will be required to be taken within the 180-day period commencing the date hereof, to ensure full protection under any Applicable Laws or regulations, and such registrations, filings, issuances and other actions remain in full force and effect, in each case, to the extent Related to the Business.

Where necessary, and consistent with customary industry practices as of the date hereof, except as set forth in Schedule 5.14(d), each item of the Company Owned Intellectual Property material to the Company Business has been duly registered with, filed in or issued by, as the case may be, the U.S. Patent and Trademark Office, the U.S. Copyright Office or, in the case of trademarks, foreign trademark offices, to the extent necessary to ensure full protection under any applicable Law. Except as set forth in Schedule 5.14(d), all maintenance fees have been paid and all such registrations, filings and issuances and other actions remain in full force and effect, in each case to the extent such registration is material to the Company Business.

The Owned Intellectual Property has been duly registered with, filed in or issued by, as the case may be, the United States Patent and Trademark Office, the United States Copyright Office or other filing offices, domestic or foreign, to the extent necessary or desirable to ensure full protection under any applicable law, and such registrations, filings, issuances and other actions remain in full force and effect, in each case, to the extent material to the business or operations of the Division. Except as set forth in Schedule 3.11(f), the Seller has taken all necessary actions to ensure full protection of the Division Intellectual Property (including reasonable and customary actions to maintain the secrecy of all confidential Intellectual Property) under any applicable law.

That portion of the Owned Intellectual Property identified as registered on Schedule 3.1.19(f) has been duly registered with, as the case may be, the United States Patent and Trademark Office or the United States Copyright Office and to knowledge of MD Industries, such registrations remain in full force and effect, in each case to the extent material to the Business.
