DURATION AND EFFECT OF REPRESENTATIONS AND WARRANTIES. (a) NER and Xxxxxxxxxx acknowledges and agrees that Silver Reserve is entering into this Agreement relying upon the representations and warranties made to it herein and the correctness of each such representation and warranty is a condition upon which Silver Reserve is entering into this Agreement, each of which conditions may be waived in whole or in part solely by Silver Reserve and all such representations and warranties shall survive the execution, delivery and termination of this Agreement, the acquisition of any interest in the Claims by a party and the commencement and completion of any of the transactions contemplated herein, for a period of 4 years following the execution of this Agreement. (b) Silver Reserve acknowledges and agrees that NER and Xxxxxxxxxx are entering into this Agreement relying upon the representations and warranties made to it herein and the correctness of each such representation and warranty is a condition upon which NER and Xxxxxxxxxx are entering into this Agreement, each of which conditions may be waived in whole or in part solely by an instrument in writing signed by NER and Xxxxxxxxxx and all such representations and warranties shall survive the execution, delivery and termination of this Agreement, the acquisition of any interest in the Claims by a party and the commencement and completion of any of the transactions contemplated herein for a period of 4 years following the execution of this Agreement. (c) NER agrees to indemnify and hold harmless Silver Reserve from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by NER contained herein. (d) Xxxxxxxxxx agrees to indemnify and hold harmless Silver Reserve from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Xxxxxxxxxx contained herein. (e) Silver Reserve agrees to indemnify and hold harmless NER and Xxxxxxxxxx from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Silver Reserve contained herein.

(b) Silver Reserve Yukon Gold an Yukon Parent acknowledges and agrees that NER and Xxxxxxxxxx Ewing, Smith Wagnxx xxd Xxxxx are entering each entxxxxx into this Agreement relying upon the representations and warranties made to it them herein and the correctness of each such representation and warranty is a condition upon which NER each of Ewing, Smith, Wagner and Xxxxxxxxxx Slack are entering into xxxx this Agreement, each of which conditions may be waived in whole or in part solely by an instrument in writing signed by NER each of Ewing, Smith. Wagxxx xnd Slack and Xxxxxxxxxx and all such representations axx xxch xxxxesentxxxxxs and warranties shall survive the execution, delivery and termination of this Agreement, the acquisition of any interest in the Claims Property by a party and the commencement and completion of any of the transactions contemplated herein for a period of 4 years following the execution of this Agreementherein. (c) NER agrees Ewing, Smith, Wagner and Slack each jointly xxx xeverally agree to indemnify and hold harmless Silver Reserve Yukon Gold from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by NER contained Ewing, Smith. Wagner and Xxxck xxxxxxned herein. (d) Xxxxxxxxxx Yukon Gold and Yukon Parent agrees to indemnify and hold harmless Silver Reserve each of Ewing, Smith, Wagner and Slack from all claimsclxxxx, actionsactixxx, damages and losses arising out of or in connection with a breach of any representation or warranty made by Xxxxxxxxxx Yukon Gold and Yukon Parent contained herein. (e) Silver Reserve agrees to indemnify and hold harmless NER and Xxxxxxxxxx from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Silver Reserve contained herein.

(e) Silver Reserve agrees to indemnify and hold harmless NER and Xxxxxxxxxx from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Silver Reserve contained herein.

(b) Silver Reserve Yukon Gold acknowledges and agrees that NER Ewing, Smith and Xxxxxxxxxx Wagner are each entering into this Agreement thix Xxxeemxxx relying upon the representations and warranties made to it them herein and the correctness of each such representation and warranty is a condition upon which NER each of Ewing, Smith and Xxxxxxxxxx are Wagner is entering into this AgreementAgxxxxxnt, each xxxh of which conditions whxxx xxnditions may be waived in whole or in part solely by an instrument in writing signed by NER each of Ewing, Smith and Xxxxxxxxxx Wagner and all such representations and warranties shall representxxxxxs xxx warrantxxx xhall survive the execution, delivery and termination of this Agreement, the acquisition of any interest in the Claims Property by a party and the commencement and completion of any of the transactions contemplated herein for a period of 4 years following the execution of this Agreementherein. (c) NER agrees Ewing, Smith and Wagner each jointly and severally agree to indemnify and xndemnxxx xnd hold harmless Silver Reserve Yukon Gold from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by NER Ewing, Smith and Wagner contained herein. (dx) Xxxxxxxxxx agrees Yukon Gold agxxxx to indemnify ixxxxxxfy and hold harmless Silver Reserve each of Ewing, Smith and Wagner from all claims, actions, damages and losses arising lossex xxxsing out of or in connection with a breach of any representation or warranty made by Xxxxxxxxxx Yukon Gold contained herein. (e) Silver Reserve agrees to indemnify and hold harmless NER and Xxxxxxxxxx from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Silver Reserve contained herein.

(a) NER and Xxxxxxxxxx Sage acknowledges and agrees that Silver Reserve is entering into this Agreement relying upon the representations and warranties made to it herein and the correctness of each such representation and warranty is a condition upon which Silver Reserve is entering into this Agreement, each of which conditions may be waived in whole or in part solely by Silver Reserve and all such representations and warranties shall survive the execution, delivery and termination of this Agreement, the acquisition of any interest in the Claims by a party and the commencement and completion of any of the transactions contemplated herein, for a period of 4 years following the execution of this Agreement. (b) Silver Reserve acknowledges and agrees that NER and Xxxxxxxxxx are Sage is entering into this Agreement relying upon the representations and warranties made to it herein and the correctness of each such representation and warranty is a condition upon which NER and Xxxxxxxxxx are Sage is entering into this Agreement, each of which conditions may be waived in whole or in part solely by an instrument in writing signed by NER and Xxxxxxxxxx Sage and all such representations and warranties shall survive the execution, delivery and termination of this Agreement, the acquisition of any interest in the Claims by a party and the commencement and completion of any of the transactions contemplated herein for a period of 4 years following the execution of this Agreement. (cd) NER Sage agrees to indemnify and hold harmless Silver Reserve from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by NER contained herein. (d) Xxxxxxxxxx agrees to indemnify and hold harmless Silver Reserve from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Xxxxxxxxxx Sage contained herein. (e) Silver Reserve agrees to indemnify and hold harmless NER and Xxxxxxxxxx Sage from all claims, actions, damages and losses arising out of or in connection with a breach of any representation or warranty made by Silver Reserve contained herein.
