Duration of Agreement; Binding Effect. (a) This Agreement shall continue until and terminate ten years after the date that Indemnitee’s Corporate Status shall have ceased; provided, that the rights of Indemnitee hereunder shall continue until the final termination of any Proceeding then pending in respect of which Indemnitee is granted rights of indemnification or advance of Expenses hereunder and of any proceeding commenced by Indemnitee pursuant to Section 11 of this Agreement relating thereto.

(a) This Agreement shall continue until and terminate ten seven (7) years after the date that Indemnitee’s Corporate Status shall have ceasedupon which Indemnitee ceases to be a director and employee of Xxxx and an employee of LLC or otherwise engaged by both Employers or any of their Affiliates; provided, that the rights of Indemnitee hereunder shall continue until the final termination of any Proceeding then pending in respect of which Indemnitee is granted rights of indemnification or advance of Expenses hereunder and of any proceeding commenced by Indemnitee pursuant to Section 11 10 of this Agreement relating thereto.

(a) 16.1 This Agreement shall continue until and will terminate ten 10 years after the date that Indemnitee’s Corporate Status shall have ceased; providedceases. However, that the rights of Indemnitee hereunder shall will continue until the final termination of any Proceeding then pending in respect of which Indemnitee is granted rights of indemnification or advance of Expenses hereunder and of any proceeding commenced by Indemnitee pursuant to Section 11 of this Agreement relating thereto.

(a) This Agreement shall continue until and terminate ten years after on the latest of (i) the date that Indemnitee’s Corporate Status Indemnitee shall have ceased; providedceased to have Corporate Status, (ii) the date that the Indemnitee is no longer subject to any actual or possible Proceeding (including any rights of Indemnitee hereunder shall continue until the final termination of appeal thereto and any Proceeding then pending in respect of which Indemnitee is granted rights of indemnification or advance of Expenses hereunder and of any proceeding commenced by Indemnitee pursuant to Section 11 12 of this Agreement), and (iii) the date the Company has satisfied all of its obligations that arose under this Agreement relating theretoprior to the dates described in clauses (i) and (ii) hereof.
