Common use of Duration of Services Clause in Contracts

Duration of Services. The obligation of GGP to perform any individual Service described in or contemplated by this Section A shall terminate upon the earliest to occur of (a) December 31, 2012, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to (i) ensure that any terminated Service is integrated into Spinco’s broader business processes and/or (ii) complete any individual Service in this Section A requested by Spinco prior to the termination described in the prior sentence.

Duration of Services. The obligation of GGP to perform any individual Service described in or contemplated by this Section A C shall terminate upon the earliest to occur of (a) December 31, 2012, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement; provided, however, that Spinco shall not be permitted to terminate any such Service pursuant to Section 9.01(b)(A) of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to (i) ensure that any terminated Service is integrated into Spinco’s broader business processes and/or (ii) complete any individual Service in this Section A C requested by Spinco prior to the termination described in the prior sentence.

Duration of Services. The obligation of GGP to perform any individual Service described in or contemplated by this Section A shall terminate upon as of the earliest date that all legacy claims, including final payments, related to occur of Spinco have been settled or otherwise fully resolved (a) December 31, 2012, (b) five days following written notice of termination of such Services as mutually agreed in writing by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the AgreementGGP). GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to (i) ensure that any terminated Service is integrated into Spinco’s broader business processes and/or (ii) complete any individual Service in this Section A requested by Spinco prior to the termination described in the prior sentence.
