Upon twenty-four (24) hours prior notice, Landlord shall provide heating and cooling to the Premises outside Business Hours, with the minimum charge being based on four (4) hours usage. During Business Hours. Landlord shall, through the air ------------ conditioning system, furnish to, and distribute in, the Premises air conditioning and ventilation in accordance with Exhibit D; Provided, however, that Landlord shall not be liable for uncomfortable conditions in the Premises if the cause of the uncomfortable conditions is due to the fact that Tenant's cooling/ heating needs are over and above the capacity/ specifications of the Building's heating, ventilation and air conditioning ("HVAC") system. Tenant agrees to lower and close the blinds when necessary because of the sun's position whenever said HVAC system is in operation, and Tenant agrees at all times to cooperate fully with Landlord and to abide by all the regulations and requirements which Landlord may prescribe for the proper functioning and protection of said HVAC system. In addition to any and all other rights and remedies which Landlord may invoke for any violation by Tenant of this Article 10, Landlord may discontinue the furnishing of overtime air conditioning service without any diminution or abatement of Rent whatsoever. Landlord shall at all times have free and unrestricted access to any and all HVAC facilities in the Premises. Landlord shall not be required to furnish, and Tenant shall not be entitled to receive, any air conditioning during any period wherein Tenant shall be in default beyond any applicable cure period in the payment of Fixed Rent or Additional Rent as specified in this Lease.
During Business Hours. Tenant shall have access to the Premises, and Landlord shall furnish, without extra charge, all services and utilities required under this Lease. After Business Hours, Tenant shall have access to the Premises, provided Tenant complies with Landlord's normal security procedures, and Tenant pays Landlord a charge as established by Landlord for the use of electricity and other services during non-Business Hours. Landlord may establish and advise Tenant of any reasonable requirements for prior notification to Landlord for Tenant's use of the Premises during non-Business Hours.
During Business Hours. Landlord shall provide, at Landlord's expense and as part of the Rent, electricity for Tenant's HVAC and Common Area usage. On weekends and Holidays, the Building will be heated or cooled for Tenant only upon special request of Tenant. If Tenant requires electricity for HVAC or Common Area usage outside Business Hours or on weekends or Holidays, Landlord shall furnish same at Tenant's request and at Tenant's expense as follows. Each hour or fraction thereof shall be charged to Tenant at the rate of seventy-five dollars ($75.00) per hour for Tenant premises of 40,000 square feet or less and an additional seventy-five dollars ($75.00) per hour for each additional 40,000 rentable square feet or fraction thereof, with a minimum charge of four (4) hours. Tenant shall pay such charges to Landlord monthly together with Rent. The hourly rate may be adjusted if the utility's charge to Landlord is increased. If Tenant does not notify Landlord prior to its usage of electricity as set forth in this paragraph, Landlord shall estimate Tenant's usage and shall charge Tenant accordingly.
