Common use of Duties/Authority Clause in Contracts

Duties/Authority. The Executive shall have responsibility for the conduct of the business and fiscal affairs of the Company and the general supervision of and control over the properties, business interests, and agents of the Company, in each case subject to the control and direction of the Board of Directors. The Executive's duties hereunder shall be consistent with the duties, responsibilities, and authority generally recognized for the offices of Chief Executive Officer and President.

The Executive agrees to hold such additional offices of the Company and its affiliates as may reasonably be assigned to him by the Board of Directors or the Chief Executive Officer from time to time.

In performing his duties, Executive Officer agrees to abide by all bylaws, policies, practices, procedures, and Presidentrules of the Company.

The Executive shall have responsibility for responsibilities commensurate with the conduct offices of the business Chief Executive Officer and fiscal affairs of the Company and the general supervision of and control over the propertiesPresident, business interests, and agents of the Company, in each case subject to the control and direction of the Board of DirectorsDirectors in accordance with applicable law and the Company’s corporate governance policies.
