Common use of Duties/Authority Clause in Contracts

Duties/Authority. The Executive shall have such responsibilities, powers and duties substantially consistent with those he currently provides to the Company and customarily assigned to individuals serving in such position at comparable companies or as may be reasonably required by the conduct of the business of the Company. The Executive will report to the Company’s Board. The Executive shall devote a majority of Executive’s working time and efforts to the business and affairs of the Company. Executive shall not, without the prior approval of the Company, whether for compensation or otherwise, directly or indirectly, alone or as a member of any partnership or other organization, be actively engaged in or concerned with any other business duties or personal pursuits which are in conflict with Executive’s duties under this Agreement. The Executive’s reasonable participation in charitable organizations shall not be considered a violation of this provision.

The Executive shall not, without the prior approval of the Company, whether for compensation or otherwise, directly or indirectly, alone or as a member of any partnership or other organization, be actively engaged in or concerned with any other business duties or personal pursuits which are in conflict with the Executive’s duties to the Company (whether under this AgreementAgreement or otherwise). The Executive’s reasonable participation in charitable organizations shall not be considered a violation of this provision.

The Executive shall devote a majority substantially all of Executive’s working time and efforts to the business and affairs of the Company. Executive shall not, without the prior approval of the Company, whether for compensation or otherwise, directly or indirectly, alone or as a member of any partnership or other organization, be actively engaged in or concerned with any other business duties or personal pursuits which are in conflict interfere with the performance of Executive’s duties responsibilities under this Agreement. The Executive’s reasonable participation in charitable organizations (subject to prior approval by the Company’s board of directors (the “Board”)) shall not be considered a violation of this provision.
