Common use of Duties; Extent of Service Clause in Contracts

Duties; Extent of Service. During Executive's employment under this Agreement, Executive (i) shall serve as an employee of the Company with the titles and positions of Chief Executive Officer and President, reporting to the Board of Directors of the Company, shall have such executive responsibilities as the Board of Directors of the Company shall from time to time designate, provided that, in all cases Executive shall be subject to the oversight and supervision of the Board of Directors of the Company in the performance of his duties, and (ii) shall render all services reasonably incident to the foregoing. Executive hereby accepts such employment, agrees to serve the Company in the capacities indicated, and agrees to use Executive's best efforts in, and shall devote Executive's full working time, attention, skill and energies to, the advancement of the interests of the Company and its subsidiaries and the performance of Executive's duties and responsibilities hereunder.

During Executive's ’s employment under this Agreement, Executive (i) shall serve as an employee of the Company with the titles title and positions position of Chief Executive Officer and PresidentVice President of Sales, reporting to the Board of Directors Chief Executive Officer of the Company, Company and shall have such executive responsibilities as the Board of Directors Chief Executive Officer of the Company shall from time to time designatedesignate and which are reasonably appropriate for Executive’s position, provided that, in all cases Executive shall be subject to the oversight and supervision of the Board of Directors Chief Executive Officer of the Company in the performance of his Executive’s duties, and (ii) shall render all services reasonably incident to the foregoing. Executive shall also be appointed to the Company’s Board of Directors, and shall serve in such capacity throughout the Term, or until he sooner voluntarily resigns. Executive hereby accepts such employment, agrees to serve the Company in the capacities capacity indicated, and agrees to use Executive's ’s best efforts in, and shall devote Executive's full working time, attentionefforts, skill and energies to, the advancement of the interests of the Company and its subsidiaries and the performance of Executive's ’s duties and responsibilities hereunder.

During Executive's employment under this Agreement, Executive (i) shall serve as an employee of the Company with the titles and positions of Chief Executive Officer Financial Officer, Treasurer and PresidentSecretary, reporting to the Chief Executive Officer and Board of Directors of the Company, and shall have such executive responsibilities as the Chief Executive Officer or Board of Directors of the Company shall from time to time designate, provided that, in all cases Executive shall be subject to the oversight and supervision of the Chief Executive Officer and Board of Directors of the Company in the performance of his duties, and (ii) shall render all services reasonably incident to the foregoing. Executive hereby accepts such employment, agrees to serve the Company in the capacities indicated, and agrees to use Executive's best efforts in, and shall devote Executive's full working time, attention, skill and energies to, the advancement of the interests of the Company and its subsidiaries and the performance of Executive's duties and responsibilities hereunder.

During the Executive's employment under this Agreement, the Executive (i) shall serve as an employee of the Company with the titles and positions of Chairman of the Board of Directors, President and Chief Executive Officer and PresidentOfficer, reporting to the Board of Directors of the Company, and shall have such executive responsibilities as the Board of Directors of the Company shall from time to time designate, provided thatPROVIDED THAT, in all cases the Executive shall be subject to the oversight and supervision of the Board of Directors of the Company in the performance of his duties, and (ii) shall render all services reasonably incident to the foregoing. The Executive hereby accepts such employment, agrees to serve the Company in the capacities indicated, and agrees to use the Executive's best efforts in, and shall devote the Executive's full working time, attention, skill and energies to, the advancement of the interests of the Company and its subsidiaries and the performance of the Executive's duties and responsibilities hereunder.

During Executive's ’s employment under this Agreement, Executive (i) shall serve as an employee of the Company with the titles title and positions position of Chief Executive Officer and PresidentManaging Director – United States, reporting to the Board Managing Director - Chief Operating Officer of Directors of the CompanySecure Risks, shall have such executive responsibilities as the Board of Directors of the Company Managing Director and Chief Operating Officer shall from time to time designate, provided that, in all cases Executive shall be subject to the oversight and supervision of the Board of Directors Managing Director, or Chief Executive Officer of the Company in the performance of his duties, and (ii) shall render all services reasonably incident to the foregoing. Executive hereby accepts such employment, agrees to serve the Company in the capacities indicated, and agrees to use Executive's ’s best efforts in, and shall devote Executive's full ’s not less than 50% of normal working time, and during that time shall devote 100% of his attention, skill and energies to, the advancement of the interests of the Company and its subsidiaries and the performance of Executive's ’s duties and responsibilities hereunder.

During Executive's ’s employment under this Agreement, Executive (i) shall serve as an employee of the Company with the titles title and positions position of Chief Executive Officer and PresidentManaging Director, Secure Risks Ltd., reporting to the Board of Directors Chief Executive of the Company, Parent and shall have such executive responsibilities as the Parent’s Chief Executive Officer and/or the Company’s Board of Directors of the Company shall from time to time reasonably designate, provided that, in all cases Executive shall be subject to the oversight and supervision of the Parent’s Chief Executive Officer and the Board of Directors of the Company in the performance of his duties, and (ii) shall render all services reasonably incident to the foregoing. Executive hereby accepts such employment, agrees to serve the Company in the capacities indicated, and agrees to use Executive's ’s best efforts in, and shall devote Executive's ’s full working time, attention, skill and energies to, the advancement of the interests of the Company and its subsidiaries and the performance of Executive's ’s duties and responsibilities hereunder.
