h. Work with the Chief Executive Officer on strategy and to identify new business opportunities, including potential mergers and acquisitions.
i. Work with the Chief Executive Officer on communications with investors.
j. Work with the Governance, Nominating and Corporate Social Responsibility Committee to manage the recruitment of directors and director succession.
k. Assist the Board in evaluating (at least annually) the performance and compensation of the Chief Executive Officer.
l. Monitor how the Board works together and how individual directors perform and interact at meetings.
m. Carry out such other duties commensurate with the position and status of Executive Chairman as may be agreed between Executive Chairman and the Board of Directors or the Chief Executive Officer from time to time.
Duties Generally. The COUNTY agrees as follows:
A. To timely and professionally complete the services as described above, and to furnish their labor and pay all their own costs, including any taxes, required to complete their services.
B. To furnish everything reasonably necessary to complete the services unless specifically provided otherwise in this Agreement.
C. To apply for and obtain any and all necessary permits, certifications, licenses, variances, and approvals required by any applicable law or regulations that relate to the services.
D. To conduct all activities related to the services in a lawful manner.

Duties Generally. The General Partner, on behalf of and at the expense of the Partnership, shall perform duties as follows:
(A) take all steps and do all things within its powers that are reasonable and necessary in connection with the management and operations of the Station;
(B) promote the success of the business of the Partnership;
(C) file and publish all certificates, statements and instruments, and all amendments thereto, that are required by law for the formation, continuation and operation of the Partnership as a limited partnership in the State of Delaware and for the qualification of the Partnership to do business as a foreign limited partnership in any other jurisdiction;
(D) pay any uncontested taxes, charges and assessments that are levied, assessed or imposed upon the Partnership or its property, as they become due;
(E) discharge in good faith the duties and obligations of the Partnership under any agreement, contract or other document to which it is a party;
(F) cause the Partnership to carry adequate public liability insurance, property damage insurance and other insurance appropriate for the business of the Partnership;
(G) oversee the management of the license for the Station, including without limitation, matters relating to programming, employment and financing;
(H) maintain complete and accurate books of account of the Partnership's affairs and all other records required to be maintained by the Partnership at the Partnership's principal office;
(I) inform the Limited Partner concerning the operations of the Partnership; and
(J) retain the services of accountants or legal counsel as required for the Partnership.
